【摘要】:當(dāng)前,隨著國內(nèi)經(jīng)濟(jì)的快速發(fā)展和較好的人才引進(jìn)政策,眾多擁有高學(xué)歷的海外高層次人才帶著新興技術(shù)和項目選擇回國創(chuàng)業(yè)。在實際經(jīng)營過程中,由于缺乏商業(yè)實踐經(jīng)驗和相關(guān)法律制度常識,企業(yè)往往會出現(xiàn)諸多公司治理問題。導(dǎo)致企業(yè)經(jīng)營發(fā)展不穩(wěn)定、決策不科學(xué),企業(yè)發(fā)展面臨困境。公司治理是影響企業(yè)在市場上的競爭表現(xiàn)和決定企業(yè)經(jīng)營成敗的關(guān)鍵因素之一,良好的公司治理狀態(tài)是企業(yè)持續(xù)快速發(fā)展和規(guī)范經(jīng)營的保障。公司治理結(jié)構(gòu)是公司治理的基礎(chǔ)和支撐,也是公司治理的內(nèi)核。公司治理結(jié)構(gòu)的健全和完善是良好公司治理狀態(tài)的前提和保障。對于初創(chuàng)企業(yè)而言,良好的公司治理狀態(tài)對保障企業(yè)的持續(xù)健康發(fā)展具有重要作用。Z企業(yè)作為一家初創(chuàng)期的高科技企業(yè),公司創(chuàng)始人在企業(yè)創(chuàng)立早期以通過引進(jìn)風(fēng)險投資和個人股東投資入股的方式解決項目融資,在此過程中公司創(chuàng)始股東將公司實際經(jīng)營權(quán)委托給個人投資者之一,并使之成為公司董事會董事。但在企業(yè)后期發(fā)展過程中,發(fā)生公司創(chuàng)始股東在董事會上沒有發(fā)言權(quán)、經(jīng)理人缺乏約束、監(jiān)事會監(jiān)督機(jī)制缺失等現(xiàn)象,公司發(fā)展緩慢。本文以公司治理結(jié)構(gòu)優(yōu)化為研究視角,分析公司治理的現(xiàn)狀,揭示Z企業(yè)公司治理失常的原因,重點從股權(quán)結(jié)構(gòu)的形成、控制權(quán)配置、治理結(jié)構(gòu)的完善等方面提出優(yōu)化方案,同時重新制定董事會制度、經(jīng)理層的選擇與考評制度、監(jiān)事會制度等相關(guān)制度。提出的優(yōu)化方案重構(gòu)了董事會、監(jiān)事會、經(jīng)理層之間的運(yùn)行關(guān)系,既可以有效避免公司控制權(quán)的轉(zhuǎn)移,也可以有效提高企業(yè)的管理水平,保障企業(yè)的良性運(yùn)行和持續(xù)健康發(fā)展。Z企業(yè)作為海歸高科技初創(chuàng)企業(yè)的典型代表,本文通過對Z企業(yè)的案例研究,既豐富了新創(chuàng)企業(yè)治理的理論成果,同時也為眾多高科技創(chuàng)業(yè)企業(yè)完善公司治理、維護(hù)股東利益和明確股東責(zé)任、提高科學(xué)管理水平提供了良好的借鑒意義。
[Abstract]:At present, with the rapid development of domestic economy and better talent introduction policy, many high-level overseas talents with high academic qualifications come home with emerging technologies and projects to start their own businesses. Due to the lack of experience in business practice and common sense of relevant legal system, enterprises often appear many corporate governance problems, resulting in unstable business development and unscientific decision-making. Corporate governance is one of the key factors that affect the competitive performance of enterprises in the market and determine the success or failure of business operations. A good state of corporate governance is the guarantee of sustained and rapid development and standardized management of enterprises. Corporate governance structure is the foundation and support of corporate governance. It is also the kernel of corporate governance. The sound and perfect structure of corporate governance is the premise and guarantee of good corporate governance. Good corporate governance state to ensure the sustainable and healthy development of enterprises has an important role. Z enterprise as a start-up high-tech enterprises. The founder of the company solved the project financing by introducing venture capital and individual shareholder investment in the early days of the enterprise. In this process, the founding shareholder of the company entrusted the actual operating right of the company to one of the individual investors. And make it a board of directors. But in the later development process of the company, the founding shareholders of the company have no say in the board of directors, managers lack of constraints, the supervisory mechanism of the board of supervisors is missing, and so on. This paper analyzes the current situation of corporate governance, reveals the causes of corporate governance disorders, focuses on the formation of equity structure and the allocation of control rights from the perspective of corporate governance structure optimization. At the same time, the system of board of directors, the selection and evaluation system of managers, the system of board of supervisors and other related systems are put forward. The proposed optimization scheme reconstructs the board of directors and the board of supervisors. The operational relationship between managers can not only effectively avoid the transfer of corporate control, but also effectively improve the management level of enterprises. As a typical representative of high-tech startups, this paper enriches the theoretical results of the governance of newly established enterprises through the case study of Z enterprises. At the same time, it also provides a good reference for many high-tech start-ups to improve corporate governance, protect the interests of shareholders and clarify shareholders' responsibilities, and improve the level of scientific management.
