【摘要】：海外并購(gòu)一直被產(chǎn)業(yè)界作為進(jìn)入東道國(guó)市場(chǎng)、或者獲取戰(zhàn)略資源的重要手段。尤其是近年來(lái),中國(guó)企業(yè)越來(lái)越多地通過(guò)海外并購(gòu)的方式對(duì)發(fā)達(dá)國(guó)家進(jìn)行反向資本輸入,其目的既為了獲取海外市場(chǎng),也為了獲取先進(jìn)的技術(shù)。同時(shí),海歸人才的回流也是反向技術(shù)溢出的一個(gè)渠道。文章選取了深滬股市中81家上市公司從2005-2014年的海外并購(gòu)數(shù)據(jù)作為樣本,并收集了這些公司并購(gòu)的專利申請(qǐng)數(shù)目,以及這些企業(yè)高管團(tuán)隊(duì)的信息建立模型。結(jié)果發(fā)現(xiàn),對(duì)于新興市場(chǎng)的企業(yè)而言,海外并購(gòu)可以促進(jìn)其技術(shù)創(chuàng)新績(jī)效的顯著提高,而且其擁有海外任職經(jīng)歷的高管團(tuán)隊(duì)能夠顯著促進(jìn)企業(yè)海外并購(gòu)后更好地將海外先進(jìn)技術(shù)轉(zhuǎn)移和融合,從而提升新興市場(chǎng)企業(yè)在海外并購(gòu)后的技術(shù)創(chuàng)新能力。
[Abstract]:Overseas M & A has always been used by industry as an important means to enter the host country market or to obtain strategic resources. Especially in recent years, more and more Chinese enterprises carry out reverse capital input to developed countries through overseas mergers and acquisitions, the purpose of which is not only to obtain overseas market, but also to acquire advanced technology. At the same time, the return of returned overseas talents is also a channel of reverse technology spillover. This paper selects 81 listed companies in Shenzhen and Shanghai stock market as samples from 2005 to 2014, and collects the number of patent applications for M & A of these companies, as well as the information model of the executives team of these companies. The results show that for firms in emerging markets, overseas mergers and acquisitions can significantly improve their technological innovation performance. Moreover, the executive team with overseas experience can significantly promote the transfer and integration of overseas advanced technologies after overseas mergers and acquisitions, thereby enhancing the technological innovation ability of emerging market companies after overseas mergers and acquisitions.
