【摘要】：中國(guó)企業(yè)集團(tuán)在股權(quán)投資領(lǐng)域經(jīng)歷了30多年的實(shí)戰(zhàn)而仍然在找尋滿(mǎn)意的持股模式。持股模式與管控系統(tǒng)的契合將力保企業(yè)集團(tuán)的持股進(jìn)入"形神兼?zhèn)?的境界。這是基于集團(tuán)視野的管理會(huì)計(jì)思維拓展的現(xiàn)實(shí)課題。本文使用權(quán)變理論,從企業(yè)集團(tuán)母公司對(duì)子公司持股模式和管理控制系統(tǒng)之間的不同組合模式出發(fā),論證了兩者之間的契合程度對(duì)持股效果即股東權(quán)益效應(yīng)的影響。通過(guò)對(duì)210家企業(yè)集團(tuán)的問(wèn)卷調(diào)查與實(shí)證研究,結(jié)果表明:通常,運(yùn)營(yíng)導(dǎo)向型持股模式和財(cái)務(wù)導(dǎo)向型持股模式下,其持股模式與管理控制系統(tǒng)處于契合狀態(tài),而混合型持股模式下,其持股模式與管理控制系統(tǒng)處于不契合狀態(tài)。進(jìn)一步地,運(yùn)營(yíng)導(dǎo)向型持股模式和財(cái)務(wù)導(dǎo)向型持股模式在持股價(jià)值、市場(chǎng)開(kāi)拓與產(chǎn)品創(chuàng)新和財(cái)務(wù)績(jī)效方面得分相近,并高于混合型持股模式;而財(cái)務(wù)導(dǎo)向型持股模式下的母子公司間博弈行為要少于運(yùn)營(yíng)導(dǎo)向型持股模式。
[Abstract]:After more than 30 years in the field of equity investment, Chinese enterprise groups are still looking for a satisfactory shareholding model. The combination of shareholding mode and management system will ensure that enterprise group shares enter the realm of "both form and spirit". This is based on the group vision of management accounting thinking expansion of the reality of the subject. Based on the theory of the change of the right of use, this paper demonstrates the influence of the degree of agreement between the parent company of the enterprise group on the ownership of subsidiary company and the management and control system, that is, the shareholder's equity effect. Based on the questionnaire survey and empirical study of 210 enterprise groups, the results show that, in general, the shareholding mode and the management control system are in agreement with each other under the operation-oriented shareholding mode and the financial-oriented shareholding mode. In the mixed shareholding mode, the shareholding mode and the management control system are in a state of disaccord. Furthermore, the operating and financial oriented shareholding models have similar scores in terms of shareholding value, market development and product innovation and financial performance, and are higher than hybrid shareholding models. However, the game behavior between parent and subsidiary companies in financial-oriented shareholding mode is less than that in operation-oriented shareholding mode.
