【摘要】：凱迪生態(tài)在國內(nèi)能源格局變化的形勢下,面臨公司戰(zhàn)略和主營業(yè)務(wù)必須轉(zhuǎn)型的問題,而生物質(zhì)發(fā)電成為公司選擇的新的業(yè)務(wù)發(fā)展方向。最近幾年,隨著霧霾、氣候變暖等環(huán)境問題日益嚴(yán)峻,國家政策逐漸向可再生電力傾斜。生物質(zhì)發(fā)電作為可再生電力行業(yè)中快速發(fā)展的代表,加上又能解決秸稈焚燒這樣的現(xiàn)實環(huán)境問題,因此筆者認(rèn)為關(guān)注這類企業(yè)的發(fā)展是有意義的。另外,凱迪生態(tài)通過此次資產(chǎn)重組,在生物質(zhì)發(fā)電行業(yè)快速擴張,然而這樣大規(guī)模的擴張卻使得公司的資金壓力大為增加。因此對其他開展戰(zhàn)略轉(zhuǎn)型或在某個行業(yè)快速擴張的公司來說,凱迪生態(tài)的資產(chǎn)重組也很有代表意義�；谝陨显�,本文以國內(nèi)最大的生物質(zhì)發(fā)電企業(yè)凱迪生態(tài)為例,對其資產(chǎn)重組的背景、績效和風(fēng)險等方面進行細(xì)致的分析,以求為同樣處于戰(zhàn)略轉(zhuǎn)型或快速擴張階段的企業(yè)進行資產(chǎn)重組提供建議,還有對其他生物質(zhì)發(fā)電企業(yè)資產(chǎn)重組提供參考,并為監(jiān)管者批準(zhǔn)資產(chǎn)重組和投資者投資提供決策的依據(jù)。文章首先闡明了研究背景及意義,梳理了資產(chǎn)重組的相關(guān)理論與國內(nèi)外文獻綜述,然后介紹了凱迪生態(tài)資產(chǎn)重組關(guān)聯(lián)方概況與資產(chǎn)重組過程和方案,接下來本文對凱迪生態(tài)案例的資產(chǎn)重組背景與風(fēng)險以及重組后的績效進行分析�？冃Х治龇譃樨攧�(wù)績效分析和市場績效分析,其中財務(wù)績效分析包括償債能力分析、營運能力分析、盈利能力分析和成長能力分析。分析結(jié)果表明,公司在資產(chǎn)重組后財務(wù)績效表現(xiàn)不佳,而短期市場績效為正,說明資產(chǎn)重組在短期內(nèi)給公司股東創(chuàng)造了財富。除此之外,文章還分析了資產(chǎn)重組的積極影響和存在的問題。根據(jù)分析結(jié)果,文章建議公司控制企業(yè)擴張速度,健全財務(wù)風(fēng)險預(yù)警機制,加強重組之后的整合,從而更好地實現(xiàn)公司的發(fā)展戰(zhàn)略。
[Abstract]:Under the situation of domestic energy pattern change, Cady Ecology is faced with the problem that the company's strategy and main business must be transformed, and biomass power generation has become the new business development direction chosen by the company. In recent years, with the development of haze. Climate warming and other environmental problems are becoming more and more serious, and national policies are gradually tilting towards renewable power. Biomass power generation as a representative of the rapid development of renewable power industry. In addition, it can solve the real environmental problems such as straw burning, so I think it is meaningful to pay attention to the development of this kind of enterprises. In addition, through this asset reorganization, Cady Ecology is expanding rapidly in biomass power generation industry. However, such a large expansion has greatly increased the financial pressure on the company, so for other companies undergoing strategic transformation or expanding rapidly in a certain industry. Based on the above reasons, this paper takes the largest biomass power generation enterprise in China as an example, to the background of asset reorganization. Performance and risk are analyzed in detail in order to provide suggestions for enterprises in the strategic transition or rapid expansion stage of asset restructuring and other biomass power generation enterprises to provide a reference for asset restructuring. And for regulators to approve asset restructuring and investors to provide a basis for decision-making. Firstly, this paper clarifies the research background and significance, combing the relevant theory of asset restructuring and domestic and foreign literature review. Then it introduces the general situation of related parties and the process and scheme of asset reorganization. Next, the paper analyzes the background and risk of asset restructuring and the performance after the reorganization. The performance analysis is divided into financial performance analysis and market performance analysis. The financial performance analysis includes solvency analysis, operating ability analysis, profitability analysis and growth ability analysis. The results show that the financial performance of the company after the reorganization of assets is not good. The short-term market performance is positive, indicating that asset restructuring creates wealth for shareholders in the short term. In addition, the article also analyzes the positive impact of asset restructuring and existing problems. According to the results of the analysis. The paper suggests that the company control the expansion speed of the enterprise, perfect the financial risk warning mechanism, strengthen the integration after the reorganization, so as to realize the development strategy of the company better.
