【摘要】：主權債務重組方法經(jīng)歷了從一致行動條款占據(jù)主導地位再到集體行動條款成為主流的歷史選擇過程。集體行動條款之所以成為主權債務重組方法的現(xiàn)實選擇,是因為其相對于一致行動條款具有制度優(yōu)越性,而較之于法定方法更具現(xiàn)實可行性,同時也與晚近主權債務市場的結構變化及現(xiàn)實需要息息相關;基于管制暗示理論來分析,有關國家和國際機構向主權債務市場及其當事人發(fā)出的各種管制暗示是一個重要因素。主權債務重組方法的未來選擇應該注重管制暗示的作用,公共機構可以通過管制暗示促使主權債務人和債權人進行有效選擇。
[Abstract]:The method of sovereign debt restructuring has experienced a historical choice from the dominant position of the unanimous action clause to the mainstream of the collective action clause. The reason why the collective action clause becomes the realistic choice of the sovereign debt restructuring method is that it has the system superiority over the concerted action clause, and it is more realistic and feasible than the legal method. At the same time, it is closely related to the structural changes and realistic needs of the recent sovereign debt market; Based on the theory of regulatory implication, various regulatory cues issued by the relevant national and international agencies to the sovereign debt market and its parties are an important factor. The future choice of sovereign debt restructuring methods should focus on the role of regulatory hints, through which public institutions can promote sovereign debtors and creditors to make effective choices.
