【摘要】：本文通過比較美國、臺(tái)灣地區(qū)證券非公開發(fā)行信息披露制度,分析了我國證券非公開發(fā)行信息披露制度的缺陷,提出根據(jù)投資者不同來構(gòu)建我國證券非公開發(fā)行信息披露體系,確保信息披露的公平性,充分體現(xiàn)證券非公開發(fā)行的特點(diǎn),實(shí)現(xiàn)發(fā)行人籌資便利和投資者利益保護(hù)之雙重價(jià)值。
[Abstract]:By comparing the information disclosure system between the United States and Taiwan, this paper analyzes the defects of the information disclosure system of the non-public issuance of securities in China, and proposes to construct the information disclosure system of the non-public issuance of securities in China according to the investors' differences. To ensure the fairness of information disclosure, fully reflect the characteristics of non-public issuance of securities, and realize the dual value of the issuer's financing convenience and the protection of investors' interests.
