【摘要】：2008年金融危機(jī)以來(lái),由于我國(guó)實(shí)施積極的財(cái)政政策和穩(wěn)健的貨幣政策,國(guó)有大中型企業(yè)普遍面臨著資金供應(yīng)緊張的局面,國(guó)有投資公司作為特定條件下產(chǎn)生的經(jīng)濟(jì)組織,已經(jīng)成為我國(guó)國(guó)有資產(chǎn)管理和經(jīng)營(yíng)的主力軍,并且在各級(jí)政府融資中發(fā)揮著日益重要的作用。但是因其特殊背景和職能,使得國(guó)有投資公司在經(jīng)營(yíng)、融資方式、風(fēng)險(xiǎn)控制等方面存在特殊性。我國(guó)大多數(shù)國(guó)有投資公司是從政府部門分離出來(lái)的,或由政府部門直接領(lǐng)導(dǎo),有較強(qiáng)的政府背景。雖然國(guó)有投資公司從各級(jí)政府得到了政策上的扶持,一部分公司還得到經(jīng)濟(jì)支持,但國(guó)有投資公司的業(yè)務(wù)基本上是穩(wěn)健的資本經(jīng)營(yíng)工作,這在某種程度上限制了國(guó)有投資公司的發(fā)展,為大中型國(guó)有企業(yè)提供融資服務(wù)平臺(tái)的作用還有待于進(jìn)一步的提升。 圍繞國(guó)有投資公司的產(chǎn)權(quán)體制、運(yùn)作模式、戰(zhàn)略定位等問題的研究,對(duì)解決我國(guó)國(guó)有投資公司目前面臨的問題無(wú)疑是非常有意義的。但是縱觀現(xiàn)有研究成果,存在著注重理論分析、忽視對(duì)國(guó)有投資公司實(shí)務(wù)操作層面的研究；在實(shí)務(wù)研究上注重從國(guó)有投資公司某一方面的研究,而以某一省級(jí)國(guó)有投資公司從整體層面入手,從戰(zhàn)略定位、營(yíng)運(yùn)模式的設(shè)計(jì)到資源整合等進(jìn)行研究的成果并不多見。本文運(yùn)用交易成本理論、內(nèi)部化理論等,系統(tǒng)分析了國(guó)有投資公司營(yíng)運(yùn)模式,以山東省國(guó)有資產(chǎn)投資公司作為案例,結(jié)合山東省國(guó)資委為達(dá)到省管企業(yè)“十二五”總體目標(biāo),通過該公司目前為山東省管企業(yè)提供融資服務(wù)的現(xiàn)狀出發(fā),系統(tǒng)分析了目前該公司在融資功能發(fā)揮方面的不足,對(duì)該公司進(jìn)行SWOT分析的基礎(chǔ)上,進(jìn)行了戰(zhàn)略定位；借鑒國(guó)內(nèi)外國(guó)有投資公司先進(jìn)經(jīng)驗(yàn),對(duì)該公司從運(yùn)營(yíng)目標(biāo)、組織架構(gòu)和融資功能發(fā)揮等方面進(jìn)行重新設(shè)計(jì)；總結(jié)了在創(chuàng)新的營(yíng)運(yùn)模式下,該公司在充分利用省級(jí)融資平臺(tái)中所發(fā)揮的作用。以期為同類投資公司的融資功能的進(jìn)步發(fā)揮有所啟發(fā),對(duì)豐富該類問題的研究具有重要的意義。 案例公司融資平臺(tái)融資方面的創(chuàng)新,融資投向項(xiàng)目的跟蹤分析,案例公司融資風(fēng)險(xiǎn)識(shí)別和分析,案例公司內(nèi)部控制制度、內(nèi)部控制框架以及機(jī)制設(shè)計(jì)均未涉及,仍然可以進(jìn)行深入和后續(xù)研究。
[Abstract]:Since the 2008 financial crisis, due to the implementation of active fiscal policy and prudent monetary policy in China, large and medium-sized state-owned enterprises are generally faced with a tight supply of funds. State-owned investment companies, as economic organizations under specific conditions, It has become the main force in the management and management of state-owned assets and plays an increasingly important role in government financing at all levels. But because of its special background and function, state-owned investment company has particularity in management, financing, risk control and so on. Most state-owned investment companies in China are separated from government departments or directly led by government departments with strong government background. Although state-owned investment companies have received policy support from governments at all levels and some companies have received economic support, the business of state-owned investment companies is basically a steady capital operation. To some extent, this limits the development of state-owned investment companies, and the role of financing service platform for large and medium-sized state-owned enterprises needs to be further improved. The research on the property right system, operation mode and strategic orientation of state-owned investment companies is undoubtedly of great significance to solve the problems faced by state-owned investment companies in China at present. But throughout the existing research results, there is a focus on theoretical analysis, ignoring the operational level of state-owned investment companies; in the practical research focus on one aspect of state-owned investment companies, However, the research results of a provincial state-owned investment company from the overall level, from the strategic positioning, operation mode design to the integration of resources are rare. Based on transaction cost theory and internalization theory, this paper systematically analyzes the operating mode of state-owned investment companies, taking Shandong state-owned assets investment company as a case, and combining with Shandong State assets Supervision and Administration Commission to achieve the overall goal of "the twelfth five-year plan" of provincial management enterprises. Based on the current situation of the company providing financing services for Shandong provincial management enterprises, this paper systematically analyzes the deficiency of the financing function of the company at present, and carries on the strategic orientation on the basis of the SWOT analysis of the company; Drawing on the advanced experience of state-owned investment companies at home and abroad, this paper redesigns the company from the aspects of operation objectives, organizational structure and financing function. The company in the full use of provincial financing platform to play a role. The aim is to enlighten the development of the financing function of similar investment companies and to enrich the research on this kind of problems. The innovation in financing platform of case companies, the tracking and analysis of financing investment projects, the identification and analysis of financing risks of case companies, the internal control system of case companies, the framework of internal control and the design of mechanisms are not involved. Further and follow-up studies can still be carried out.
