【摘要】：隨著國際投資自由化的進(jìn)一步加深和我國對(duì)外開放程度的擴(kuò)大,外資在我國扮演了越來越重要的角色。據(jù)商務(wù)部統(tǒng)計(jì),2011年我國實(shí)際吸收外資金額預(yù)計(jì)超過1100億美元,再創(chuàng)歷史新高,同時(shí)吸收外資的質(zhì)量和水平進(jìn)一步提高。中國業(yè)已成為世界上第二大的外資吸收國和世界第五大投資國。但是,在喜人吸收外資成績的同時(shí),也存在著外資利用的隱憂。根據(jù)外資控制產(chǎn)業(yè)理論,外資控制率過高,會(huì)擠壓民族經(jīng)濟(jì)的生存空間,使之低層次發(fā)展,畸形發(fā)展。外資控制可能會(huì)對(duì)那些對(duì)國家主權(quán)和國家綜合實(shí)力有重要作用的關(guān)鍵技術(shù)產(chǎn)生負(fù)面影響。外資控制新農(nóng)業(yè),發(fā)展轉(zhuǎn)基因技術(shù),會(huì)對(duì)我國糧食安全造成巨大的威脅。另外,不少進(jìn)入的外資屬于發(fā)達(dá)國家的夕陽產(chǎn)業(yè),在進(jìn)入的同時(shí)將高污染、高能耗、高排放也帶入我國,對(duì)我國資源安全、能源安全、環(huán)境安全造成重大影響。此外,外資控制金融、能源、交通等領(lǐng)域,也會(huì)對(duì)我國國家經(jīng)濟(jì)安全帶來巨大隱患。令人警惕的是,盡管2011年國務(wù)院辦公廳與商務(wù)部分別出臺(tái)了關(guān)于建立外資并購安全審查的部門規(guī)章,我國現(xiàn)有的外商投資國家安全審查制度不足以對(duì)這些國家安全隱憂進(jìn)行阻擊。本文試圖采用理論與實(shí)證分析相結(jié)合的方法,介紹與分析我國外商投資安全審查制度的現(xiàn)狀與存在的問題,借鑒美國國家安全審查制度,對(duì)我國外商投資安全審查制度的完善以及如何應(yīng)對(duì)美國安全審查提出建議。 第一章主要概述了國家安全與外商投資國家安全審查制度的基本概念問題,是本文的基礎(chǔ)所在。該章主要立足于國家安全基本概念的厘清,論述了外商投資安全審查制度對(duì)我國的意義。 第二章主要講述了外商投資安全審查制度的法律依據(jù),以及我國外商投資安全審查制度的內(nèi)容。本章主要介紹了審查制度的法律依據(jù),并分析我國外商投資安全審查制度(產(chǎn)業(yè)政策)的法規(guī)內(nèi)容。 第三章主要針對(duì)外商投資安全審查制度的發(fā)展,主要是最近剛出臺(tái)的安全審查制度新規(guī)做了介紹,并在二、三兩章的基礎(chǔ)上評(píng)析我國安全審查制度的規(guī)定。 第四章則參考美國國家安全審查制度,結(jié)合我國自身特點(diǎn),為我國安全審查制度的完善提出了建議,并對(duì)我國“走出去”應(yīng)對(duì)美國國家安全審查提出意見。
[Abstract]:With the further deepening of international investment liberalization and the expansion of China's opening to the outside world, foreign investment has played an increasingly important role in our country. According to the statistics of the Ministry of Commerce, in 2011, the actual amount of foreign capital absorbed by China is expected to exceed 110 billion US dollars. China has become the second largest foreign capital absorber in the world and the world's 5th largest investor. However, while it is gratifying to absorb foreign capital, There are also hidden worries about the utilization of foreign capital. According to the theory of foreign capital control industry, the high rate of foreign capital control will squeeze the living space of the national economy and make it develop at a lower level. Abnormal development. Foreign capital control may have a negative impact on key technologies that play an important role in national sovereignty and comprehensive national strength. Foreign investment controls new agriculture and develops genetically modified technologies. It will pose a huge threat to China's food security. In addition, many of the foreign capital entering into China belong to the sunset industries of developed countries. At the same time, they will bring high pollution, high energy consumption and high emissions into our country, which will be beneficial to our country's resource security and energy security. Environmental security has a major impact. In addition, foreign investment control of finance, energy, transportation and other fields will also bring huge hidden dangers to China's national economic security. Although in 2011, the General Office of the State Council and the Ministry of Commerce issued separate departmental regulations on the establishment of a security review of foreign mergers and acquisitions. The existing national security review system of foreign investment in China is not sufficient to counter these national security concerns. This paper attempts to adopt the method of combining theory with empirical analysis. This paper introduces and analyzes the present situation and existing problems of the security review system for foreign investment in our country, draws lessons from the national security review system of the United States, and puts forward some suggestions on how to improve the security review system of foreign investment in China and how to deal with the security review in the United States. The first chapter mainly outlines the basic concept of national security and foreign investment national security review system, which is the basis of this paper. This chapter is mainly based on the clarification of the basic concept of national security. This paper discusses the significance of foreign investment security review system to our country. The second chapter mainly describes the legal basis of foreign investment security review system, as well as the content of foreign investment security review system in China. This chapter mainly introduces the legal basis of foreign investment security review system. And analyzes the foreign investment security review system (industrial policy) the content of laws and regulations. The third chapter mainly focuses on the development of foreign investment security review system, mainly introduces the new rules of security review system, and analyzes the provisions of security review system in China on the basis of two and three chapters. Chapter 4th, referring to the national security review system of the United States and combining the characteristics of our country, puts forward some suggestions for the perfection of the security review system of our country, and puts forward some opinions on the "going out" of our country to the national security review of the United States.
