文化產(chǎn)權(quán)交易市場法律問題研究

【摘要】:文化產(chǎn)權(quán)交易制度是我國的一項獨創(chuàng)性的制度,是發(fā)展與繁榮我國的文化市場的重要推動力量,是我國進行文化體制改革的有力手段之一,促成了我國的文化與金融資本的對接。文化產(chǎn)權(quán)交易制度在我國出現(xiàn)并發(fā)展的時間不長,發(fā)展路徑與方法還不是很明確,但在國家有關(guān)政策的刺激下,天津文交所推出的藝術(shù)品份額化的交易方式推動了我國的文化產(chǎn)權(quán)交易市場的快速發(fā)展,突破了傳統(tǒng)的產(chǎn)權(quán)交易方式,引起了市場廣泛的關(guān)注,吸引了大量的流動資金參與炒作,造成文化產(chǎn)權(quán)交易泡沫化、搏傻性質(zhì)嚴(yán)重,隨著交易的進行,隨之而來的制度設(shè)計缺陷的不合理性逐漸顯現(xiàn)出來,引起我國的文化產(chǎn)權(quán)交易市場動蕩,而最終被國務(wù)院叫停,然而就是這樣一種不具有合法性、不具有經(jīng)濟學(xué)基礎(chǔ)、不具有現(xiàn)實可行性的交易方式卻爭相被各地設(shè)立的文交所所采納并推廣應(yīng)用,由此引起了筆者對我國的文化產(chǎn)權(quán)交易市場的法律問題的思考。 本文采用法學(xué)、經(jīng)濟學(xué)等研究方法,通過采取實證分析、比較研究等方式相結(jié)合對我國的文化產(chǎn)權(quán)交易市場法律問題進行研究。全文共分為四章,各章具體內(nèi)容分述如下: 第一章,從文化產(chǎn)權(quán)的概念入手,,分析了文化產(chǎn)權(quán)的客體、文化產(chǎn)權(quán)交易作用以及文化產(chǎn)權(quán)交易的特殊性之所在,并以此為基礎(chǔ)闡述了我國的文化產(chǎn)權(quán)交易市場的發(fā)展背景、發(fā)展歷程以及在發(fā)展過程中所存在的問題。 第二章,為本文的重點章節(jié)所在,在分析闡述我國的文化產(chǎn)權(quán)交易市場的定位之后,對文化產(chǎn)權(quán)的份額化交易方式分別從法學(xué)角度、經(jīng)濟學(xué)角度以及現(xiàn)實可行性角度進行駁斥,得出我國的文化產(chǎn)權(quán)交易應(yīng)當(dāng)選擇傳統(tǒng)的產(chǎn)權(quán)交易方式并進行簡單介紹。 第三章,為本文的創(chuàng)新點所在,分析了我國文化產(chǎn)權(quán)交易組織者——文化產(chǎn)權(quán)交易所的構(gòu)建問題,從組織形態(tài)的選擇、利益沖突的規(guī)制、運行模式以及交易規(guī)則的完善等方面對文化產(chǎn)權(quán)交易所的構(gòu)建進行了全面系統(tǒng)性的分析。 第四章,重點闡述我國的文化產(chǎn)權(quán)交易市場的監(jiān)管問題,分析了進行文化產(chǎn)權(quán)交易監(jiān)管的理論基礎(chǔ)以及監(jiān)管的類型,并有針對性的對文化產(chǎn)權(quán)交易的參與者的市場準(zhǔn)入以及業(yè)務(wù)準(zhǔn)入進行了詳細(xì)的監(jiān)管分析,并指出了對文化產(chǎn)權(quán)交易進行監(jiān)管的重點方向是防止欺詐交易、過度投機交易、以及信息披露的監(jiān)管。
[Abstract]:The system of cultural property right transaction is an original system of our country. It is an important force to promote the development and prosperity of our country's cultural market. It is also one of the powerful means to carry out the cultural system reform in our country. Cultural property right transaction system appeared and developed in China for a short time, the path and method of development is not very clear, but under the stimulus of relevant national policies. Tianjin Wenjiao Institute launched the share of art transactions to promote the rapid development of cultural property rights trading market in China, breaking through the traditional way of property rights transactions, caused widespread concern in the market. Attracted a large number of liquidity to participate in speculation, resulting in cultural property rights transactions bubble, serious nature, with the transaction, followed by the irrationality of the system design defects gradually emerged. It caused turbulence in the market of cultural property rights in our country, and was finally suspended by the State Council. However, it is such a kind that has no legitimacy and no economic foundation. However, the transaction mode which is not feasible is adopted and popularized by various places, which causes the author to think about the legal problems in the cultural property right trading market in our country. This paper adopts the methods of law and economics to study the legal problems of the cultural property right transaction market in our country by means of empirical analysis and comparative study. The full text is divided into four chapters. The specific content of each chapter is broken down as follows: The first chapter, starting with the concept of cultural property right, analyzes the object of cultural property right, the role of cultural property right transaction and the particularity of cultural property right transaction. On the basis of this, the paper expounds the development background, development course and problems in the course of development of cultural property right trading market in China. The second chapter, as the key chapter of this article, after analyzing the positioning of the cultural property rights trading market in China, the share of the cultural property rights from the perspective of law. From the point of view of economics and feasibility, the author points out that the traditional way of property right transaction should be chosen and introduced simply in our country's cultural property right transaction. The third chapter, for the innovation of this paper, analyzes the construction of the cultural property rights exchange, which is the organizer of the cultural property rights transaction in China, from the choice of organizational form, the regulation of conflict of interest. The construction of cultural property exchange is analyzed systematically in the aspects of operation mode and the perfection of trading rules. Chapter 4th focuses on the supervision of the cultural property rights trading market in China, and analyzes the theoretical basis and types of supervision of cultural property rights transactions. And targeted participants in cultural property rights transactions market access and business access detailed regulatory analysis, and pointed out that the focus of supervision of cultural property rights transactions is to prevent fraudulent transactions.
