【摘要】：作為我國金融體系的一部分，信托公司是唯一橫跨貨幣、資本與實(shí)業(yè)市場的金融機(jī)構(gòu)之一。與其他金融機(jī)構(gòu)比較而言，信托公司的主要優(yōu)勢(shì)主要體現(xiàn)在其業(yè)務(wù)功能多樣、涉足領(lǐng)域廣泛、金融工具豐富與運(yùn)作方式靈活等方面。鑒于信托公司的上述特點(diǎn)，越來越多的企業(yè)集團(tuán)已入主信托公司。信托公司一方面可作為融資、投資及資產(chǎn)管理的工具，另一方面也可作為發(fā)展金融板塊的最佳切入點(diǎn)，，因而是相對(duì)理想的收購標(biāo)的。本文首先通過對(duì)國內(nèi)企業(yè)集團(tuán)開展信托業(yè)務(wù)的概況、產(chǎn)融布局、產(chǎn)融結(jié)合模式以及信托結(jié)合模式進(jìn)行深入剖析，并以華能集團(tuán)產(chǎn)融結(jié)合開展信托的實(shí)際案例進(jìn)行剖析為ZGH集團(tuán)信托業(yè)務(wù)開展提供借鑒基礎(chǔ)；其次，本文深入分析了ZGH集團(tuán)開展信托業(yè)務(wù)的戰(zhàn)略性意義，即包括：為企業(yè)提供融資渠道，多樣化的融資方式，完善的科學(xué)投資平臺(tái)，推進(jìn)企業(yè)集團(tuán)實(shí)現(xiàn)資本運(yùn)營并為企業(yè)未來發(fā)展奠定堅(jiān)實(shí)基礎(chǔ)；第三，本文針對(duì)ZGH集團(tuán)收購信托業(yè)務(wù)的具體因素進(jìn)行分析，包括：信托業(yè)務(wù)的發(fā)展背景、發(fā)展目的、發(fā)展條件、發(fā)展風(fēng)險(xiǎn)狀況等內(nèi)容；第四本文通過ZGH集團(tuán)關(guān)于M信托的收購策略分析，提出了具體的收購步驟、以及財(cái)務(wù)指標(biāo)測算及收益分析；第五，本文借鑒國內(nèi)企業(yè)集團(tuán)發(fā)展信托業(yè)務(wù)的成功經(jīng)驗(yàn)，提出ZGH集團(tuán)發(fā)展信托業(yè)務(wù)的對(duì)策建議。包括：業(yè)務(wù)結(jié)構(gòu)與主導(dǎo)產(chǎn)品模式、經(jīng)營與盈利模式、風(fēng)險(xiǎn)管理策略以及應(yīng)對(duì)產(chǎn)融結(jié)合各類問題采取的措施等。
[Abstract]:As part of our financial system, trust companies are the only financial institutions that straddle the currency, capital and industrial markets. Compared with other financial institutions. The main advantages of the trust company are mainly reflected in its diverse business functions, extensive involvement in the field, rich financial instruments and flexible operation, etc. In view of the above characteristics of the trust company. More and more enterprise groups have become owners of trust companies, which, on the one hand, can be used as instruments for financing, investment and asset management, on the other hand, as the best entry point for the development of the financial sector. Therefore, it is a relatively ideal acquisition target. Firstly, this paper analyzes the general situation of trust business, the layout of industry and finance, the mode of combination of industry and finance, and the mode of combination of trust and finance in domestic enterprise groups. And with Huaneng Group industry and finance to carry out the actual case of trust analysis for ZGH group trust business to provide a reference basis; Secondly, this paper deeply analyzes the strategic significance of ZGH Group to carry out trust business, including: providing financing channels for enterprises, diversified financing methods, perfect scientific investment platform. Promote enterprise group to realize capital operation and lay a solid foundation for the future development of enterprise; Third, this paper analyzes the specific factors of ZGH Group's acquisition of trust business, including: the background of trust business development, development purpose, development conditions, development risk situation and so on; 4th based on the analysis of M trust acquisition strategy of ZGH Group, this paper puts forward the specific acquisition steps, as well as the calculation of financial indicators and income analysis; In 5th, this paper draws lessons from the successful experience of developing trust business in domestic enterprise groups, and puts forward the countermeasures and suggestions for ZGH group to develop trust business, including: business structure and dominant product model, management and profit model. Risk management strategy and measures to deal with various problems.
