【摘要】：正近十年來(lái),我國(guó)鋼鐵產(chǎn)業(yè)表現(xiàn)出的產(chǎn)業(yè)集中度低、產(chǎn)業(yè)結(jié)構(gòu)不合理等問(wèn)題嚴(yán)重制約了我國(guó)鋼鐵工業(yè)的發(fā)展。2003年以來(lái),全球鐵礦石價(jià)格連續(xù)上漲,導(dǎo)致世界鋼鐵企業(yè)利潤(rùn)率下降,其根本原因是鋼鐵企業(yè)供應(yīng)鏈上下游行業(yè)間產(chǎn)業(yè)結(jié)構(gòu)不對(duì)稱。國(guó)內(nèi)鋼鐵企業(yè)間的并購(gòu)重組方式多種多樣,包括:股權(quán)轉(zhuǎn)讓、兼并收購(gòu)、戰(zhàn)略合作聯(lián)盟、合資戰(zhàn)略、資產(chǎn)置換等,幾乎涵蓋了企業(yè)界并購(gòu)重組的所有方
[Abstract]:In the past ten years, the iron and steel industry of our country has shown low industrial concentration and unreasonable industrial structure, which has seriously restricted the development of China's iron and steel industry. Since 2003, the global iron ore prices have been rising continuously. The fundamental reason for the decline of the profit margin of the world's iron and steel enterprises is the asymmetry of the industrial structure between the upstream and downstream industries in the supply chain of iron and steel enterprises. There are a variety of ways of M & A among domestic iron and steel enterprises, including: equity transfer, merger and acquisition, strategic cooperation alliance, joint venture strategy, asset replacement, etc.
