【摘要】：在實(shí)際工作中，發(fā)承包雙方以及工程造價(jià)咨詢?nèi)藦淖陨砝娉霭l(fā)對(duì)于工程結(jié)算方法的選擇持有不同的態(tài)度，而實(shí)際中通常采用竣工圖重算法進(jìn)行竣工結(jié)算造成糾紛不斷。《建設(shè)工程工程量清單計(jì)價(jià)規(guī)范》（GB50500—2013）的出臺(tái)從根本上否定了竣工圖重算法，，而提倡采取歷次計(jì)量支付結(jié)果直接進(jìn)入結(jié)算的結(jié)算規(guī)則，引起了發(fā)包人的反對(duì)。歷次計(jì)量支付結(jié)果直接進(jìn)入結(jié)算的結(jié)算規(guī)則是仿照FIDIC國(guó)際慣例的一般做法，并結(jié)合中國(guó)實(shí)際而形成的新型結(jié)算規(guī)則，具有明顯的新時(shí)代的中國(guó)特色。新型結(jié)算規(guī)則的出臺(tái)卻引起了發(fā)包人的大力反對(duì)，因此全方位研究這種結(jié)算規(guī)則，指出結(jié)算規(guī)則的關(guān)鍵點(diǎn)對(duì)于指導(dǎo)發(fā)承包雙方的實(shí)際工作有其重要的實(shí)踐意義。 美國(guó)法學(xué)家波斯納認(rèn)為，法律中的“大部分規(guī)則都可以轉(zhuǎn)譯為經(jīng)濟(jì)學(xué)語(yǔ)言”，因此這條規(guī)定的制定有其背后的經(jīng)濟(jì)學(xué)原理。本文將從經(jīng)濟(jì)學(xué)視角和法學(xué)視角對(duì)新型結(jié)算規(guī)則進(jìn)行研究，指出新型結(jié)算規(guī)則的合理性和合法性，這將對(duì)降低發(fā)包人抵觸情緒，順利接受和執(zhí)行這種結(jié)算規(guī)則有其重要的現(xiàn)實(shí)意義。 為解決上述問(wèn)題本文從工程結(jié)算的本質(zhì)出發(fā)，從合同之債、合同狀態(tài)、合同控制等角度重新審視工程結(jié)算，用以證明新型結(jié)算規(guī)則相比于竣工圖重算法所體現(xiàn)出來(lái)的合理性和合法性；此外，因?yàn)樗械臓?zhēng)議歸根到底是對(duì)于結(jié)算工程量的爭(zhēng)議，因此本文通過(guò)對(duì)于工程量清單計(jì)價(jià)體系結(jié)算工程量形成的規(guī)定和合同體系對(duì)于結(jié)算工程量形成的規(guī)定進(jìn)行分析，建立結(jié)算工程量形成標(biāo)準(zhǔn)流程，用以減少今后實(shí)際工作糾紛；最后，本文通過(guò)不完全契約理論、交易費(fèi)用理論、不完全合同平衡點(diǎn)、套牢問(wèn)題闡明了新型結(jié)算規(guī)則的合理性，利用委托代理的法律效力和程序公平促進(jìn)實(shí)體公平證明了新型結(jié)算規(guī)則的合法性。
[Abstract]:In actual work , both contracting parties and engineering cost consultants have different attitudes towards the selection of engineering settlement methods from their own interests , while in practice the settlement rules of completion settlement are often caused by the implementation of the built - in graph reconstruction algorithm . The settlement rules for direct access to settlement rules are the Chinese characteristics of the new era . The introduction of the new settlement rules leads to the strong opposition of the Employer . Therefore , the key points of the settlement rules are of great practical significance for guiding the actual work of the contracting parties .

The American jurist Posner holds that " most of the rules in the law can be translated into economic language " , so the formulation of this provision has the economic principle behind it . This article will study the new settlement rules from the perspective of economics and the perspective of law , and point out the rationality and legality of the new settlement rules . This will have important practical significance for reducing the resistance of the Employer , accepting and implementing such settlement rules smoothly .

In order to solve the above problems , the paper re - examines the project settlement from the angle of contract debt , contract status , contract control and so on from the nature of project settlement .
In addition , because all disputes are in the final settlement of the dispute of settlement quantities , the paper analyzes the formation of settlement quantities of the bill pricing system and the provisions of the contract system for settlement quantities , and establishes the standard process of settlement quantities to reduce the actual work disputes in the future ;
Finally , through incomplete contract theory , transaction cost theory and incomplete contract equilibrium point , the thesis expounds the rationality of the new settlement rules , and makes use of the legal effect and procedural fairness of the entrusted agent to prove the legality of the new settlement rules .
