ZT裝飾公司并購重組戰(zhàn)略研究

【摘要】:改革開放以來,尤其是加入WTO以后,我國經(jīng)濟(jì)飛速發(fā)展,人民對生活水平的要求日益提高,越來越享受經(jīng)濟(jì)帶給人們的好處。住上大房子、住上好房子,已經(jīng)成為公眾開始追求的目標(biāo),我國建筑裝飾業(yè)近些年發(fā)展空前。與此同時(shí),建筑裝飾業(yè)也迎來了一輪“優(yōu)勝劣汰”的浪潮,建筑裝飾企業(yè)在“十一五”期間由19萬家減少到15萬家。為了進(jìn)一步發(fā)展,能夠在行業(yè)中脫穎而出,建筑裝飾行業(yè)的并購重組戰(zhàn)略日益增多。通過并購重組戰(zhàn)略的實(shí)施,企業(yè)不僅可以在一定程度上提高自身的發(fā)展規(guī)模,而且可以優(yōu)化自身業(yè)務(wù)管理,,對建筑裝飾企業(yè)的長遠(yuǎn)發(fā)展具有非常重要的意義。基于這樣的背景下,本文對ZT裝飾公司的并購重組戰(zhàn)略進(jìn)行深入研究。 本文以ZT裝飾公司為研究對象,對建筑裝飾企業(yè)的并購重組戰(zhàn)略的制定和實(shí)施進(jìn)行較為深入的分析和研究。本文具體工作如下:第一,對并購重組戰(zhàn)略涉及的國內(nèi)外相關(guān)文獻(xiàn)進(jìn)行總結(jié)和分析,并指出了現(xiàn)有研究的不足之處;第二,通過對戰(zhàn)略重組涉及的基本概念的定義,本文重點(diǎn)闡述了企業(yè)并購重組戰(zhàn)略的相關(guān)理論;第三,結(jié)合ZT裝飾公司的發(fā)展實(shí)際,對ZT裝飾公司進(jìn)行并購重組的環(huán)境分析;第四,從橫向并購重組和縱向并購重組兩個(gè)方面制定ZT裝飾公司的并購重組戰(zhàn)略;第五,根據(jù)并購重組戰(zhàn)略從組織結(jié)構(gòu)、成本管理、人才、品牌等四個(gè)方面提出具體實(shí)施和保障措施。 本文通過對ZT裝飾公司的并購重組戰(zhàn)略研究,戰(zhàn)略的制定和規(guī)劃是一個(gè)動(dòng)態(tài)的過程,要符合經(jīng)濟(jì)性、合規(guī)合法性和價(jià)值最大化原則。ZT裝飾公司的戰(zhàn)略是走橫向并購重組道路和縱向并購重組道路。橫向并購重組道路要以ZT裝飾公司為核心整合周邊中小企業(yè),達(dá)到迅速搶占市場,擴(kuò)大經(jīng)營規(guī)模的目的;縱向并購重組道路要分步實(shí)施:第一步是前向一體化,對原料供應(yīng)商進(jìn)行整合,達(dá)到節(jié)省原材料成本的目的;第二步是縱向一體化,對家居企業(yè)進(jìn)行并購重組,達(dá)到拓展業(yè)務(wù),降低風(fēng)險(xiǎn)的作用。希望本文所做的工作能為相關(guān)企業(yè)的并購重組戰(zhàn)略的制定和實(shí)施提供有益的借鑒。
[Abstract]:Since the reform and opening up, especially after China's entry into WTO, the economy of our country has developed rapidly, and the people's demand for living standards has been increasing day by day. They are enjoying the benefits brought by the economy more and more. They live in big houses and good houses. The construction decoration industry in our country has developed unprecedented in recent years. At the same time, the architectural decoration industry has also ushered in a wave of "survival of the fittest". The number of architectural decoration enterprises decreased from 190000 to 150000 during the 11th Five-Year Plan period. In order to further develop, they can stand out from the rest of the industry. The M & A strategy of architectural decoration industry is increasing day by day. Through the implementation of M & A strategy, Enterprises can not only improve their own development scale to a certain extent, but also optimize their own business management, which is of great significance to the long-term development of architectural decoration enterprises. This article carries on the thorough research to the ZT decoration company's merger and acquisition reorganization strategy. This paper takes ZT Decoration Company as the research object, carries on the comparatively thorough analysis and the research to the construction decoration enterprise's merger and acquisition reorganization strategy formulation and the implementation. The specific work of this paper is as follows: first, This paper summarizes and analyzes the related literature of M & A strategy at home and abroad, and points out the shortcomings of the existing research. Secondly, through the definition of the basic concepts involved in strategic reorganization, This paper focuses on the related theory of M & A strategy; third, combining with the development practice of ZT decoration company, analyzes the environment of the merger and reorganization of ZT decoration company; fourth, This paper formulates the merger and reorganization strategy of ZT decoration company from two aspects of horizontal merger and reorganization and vertical merger and reorganization. Fifthly, according to the strategy of merger and acquisition, it puts forward the concrete implementation and guarantee measures from four aspects: organizational structure, cost management, talent and brand. Through the research on the merger and reorganization strategy of ZT decoration company, the formulation and planning of strategy is a dynamic process, which should be in line with the economy. Compliance legitimacy and maximization of value. The strategy of ZT decoration company is to take the road of horizontal merger and reorganization and vertical merger and reorganization. The road of horizontal merger and reorganization is to integrate the surrounding small and medium-sized enterprises with ZT decoration company as the core, so as to quickly seize the market. The purpose of expanding the scale of operation; the road of vertical merger and reorganization should be implemented step by step: the first step is forward integration to integrate raw material suppliers to achieve the purpose of saving raw material cost; the second step is vertical integration. It is hoped that the work done in this paper can provide useful reference for the formulation and implementation of M & A strategy of related enterprises.
