【摘要】：近年來(lái),我國(guó)食品企業(yè)掀起了跨國(guó)并購(gòu)的熱潮,交易金額和數(shù)量都呈現(xiàn)出了強(qiáng)勁的增長(zhǎng)趨勢(shì),并接連發(fā)生了轟動(dòng)一時(shí)的具有國(guó)內(nèi)外影響力的跨國(guó)并購(gòu)事件,如光明食品以6.8億英鎊并購(gòu)英國(guó)Weetabix和以10.31歐元并購(gòu)以色列Tnuva、中糧集團(tuán)以15億美元跨國(guó)并購(gòu)了來(lái)寶集團(tuán)子公司來(lái)寶農(nóng)業(yè)、雙匯國(guó)際以70億元人民幣并購(gòu)了西班牙肉制品巨頭Campofrio等等,使我國(guó)食品企業(yè)的跨國(guó)并購(gòu)漸漸地成為了全社會(huì)關(guān)注的焦點(diǎn)。而我國(guó)食品企業(yè)的跨國(guó)并購(gòu)交易失敗較多,其中融資問(wèn)題是最主要原因之一,所以抓緊對(duì)食品企業(yè)的跨國(guó)并購(gòu)融資相關(guān)問(wèn)題的研究有著重要的現(xiàn)實(shí)意義。本文主要通過(guò)采用案例分析方法、宏微觀相結(jié)合的分析方法、比較分析方法進(jìn)行相關(guān)研究和探討。首先,本篇論文從我國(guó)食品企業(yè)跨國(guó)并購(gòu)融資的研究背景和研究意義出發(fā),對(duì)跨國(guó)并購(gòu)融資相關(guān)的國(guó)內(nèi)外文獻(xiàn)做了評(píng)述和分析,并簡(jiǎn)要介紹了本論文的研究方法與思路、貢獻(xiàn)點(diǎn)及不足點(diǎn)。然后,結(jié)合本論文的相關(guān)研究理論基礎(chǔ)和我國(guó)食品企業(yè)發(fā)展現(xiàn)狀對(duì)我國(guó)食品企業(yè)跨國(guó)并購(gòu)融資普遍現(xiàn)存在的主要問(wèn)題及原因進(jìn)行分析。最后,本篇論文基于光明并購(gòu)英國(guó)Weetabix這一經(jīng)典的融資案例對(duì)其融資策略進(jìn)行深入分析,立足于宏微觀兩個(gè)角度提出了解決我國(guó)食品企業(yè)跨國(guó)并購(gòu)融資方面目前普遍面臨的問(wèn)題的幾點(diǎn)對(duì)策,以促進(jìn)我國(guó)食品企業(yè)能夠順利地“走出去”進(jìn)行國(guó)際戰(zhàn)略布局以實(shí)現(xiàn)經(jīng)濟(jì)又好又快地發(fā)展。
[Abstract]:In recent years, food enterprises in our country have set off an upsurge of cross-border M & A. The amount and quantity of transactions have shown a strong growth trend, and a series of sensational cross-border M & A events with domestic and foreign influence have occurred. For example, Bright Food acquired British Weetabix for 攏680 million and Tnuva, Israel, for 10. 31 euros, while Cofco bought Noble Agriculture, a subsidiary of Noble Group, for $1.5 billion. Shuanghui International acquired Spanish meat giant Campofrio with RMB 7 billion, which gradually became the focus of the whole society. However, there are many failures in the cross-border M & A transactions of food enterprises in China, among which the financing problem is one of the most important reasons, so it is of great practical significance to pay close attention to the research on the related issues of cross-border M & A financing of food enterprises. In this paper, case analysis method, macro-micro-analysis method and comparative analysis method are used to study and discuss. First of all, from the background and significance of the research on cross-border M & A financing of food enterprises in China, this paper reviews and analyzes the domestic and foreign literature related to cross-border M & A financing, and briefly introduces the research methods and ideas of this paper. Contribution points and deficiency points. Then, based on the theoretical basis of this paper and the development status of food enterprises in China, the main problems and causes of cross-border M & A financing of food enterprises in China are analyzed. Finally, based on the classic financing case of Bright M & A UK Weetabix, this paper makes a deep analysis of its financing strategy. Based on macro and micro perspectives, this paper puts forward several countermeasures to solve the problems that Chinese food enterprises generally face in cross-border M & A financing. In order to promote the food enterprises of our country to "go out" smoothly and carry out the international strategic layout, the economy can develop well and quickly.
