【摘要】:近代早期英國(guó)特許公司的建立,對(duì)英國(guó)向近代社會(huì)轉(zhuǎn)型產(chǎn)生了深遠(yuǎn)影響。倫敦弗吉尼亞公司是英國(guó)眾多特許公司中的一個(gè)案例,它不僅是合股類型的特許公司,更是現(xiàn)代股份公司前身的一個(gè)縮影。該公司主要以殖民為目的,它的一系列制度對(duì)英國(guó)北美殖民地的發(fā)展有著重要影響。目前關(guān)于這一問(wèn)題的研究國(guó)內(nèi)學(xué)者很少有人涉及,國(guó)外學(xué)者盡管很早就有關(guān)注,但并沒有對(duì)倫敦弗吉尼亞公司的制度變遷做過(guò)系統(tǒng)的研究,因此,本文選擇倫敦弗吉尼亞公司的制度變遷作為研究對(duì)象,有一定的學(xué)術(shù)價(jià)值。倫敦弗吉尼亞公司于1606年成立,它的主要活動(dòng)范圍是在美洲,旨在當(dāng)時(shí)稱為弗吉尼亞的地區(qū)建立殖民地,因此公司的經(jīng)營(yíng)狀況主要受殖民地的興衰影響。弗吉尼亞公司在美洲建立的第一個(gè)殖民地是詹姆斯敦,后來(lái)不斷擴(kuò)張,形成了由十幾個(gè)定居點(diǎn)組成的殖民地。此后的19年里,該公司的制度先后依據(jù)英王頒布的三份特許狀做了相應(yīng)的調(diào)整,但仍然解決不了公司巨額的債務(wù)問(wèn)題,公司內(nèi)部也分成了兩派相互斗爭(zhēng),最終在1624年,特許狀被國(guó)王收回,公司宣告解體。本文除了緒論和結(jié)語(yǔ)以外,主體共有4章,分別為倫敦弗吉尼亞公司的建立、倫敦弗吉尼亞公司的法人化、倫敦弗吉尼亞公司的制度調(diào)整和倫敦弗吉尼亞公司的解散和轉(zhuǎn)型。緒論部分交代本文的選題依據(jù),并對(duì)有關(guān)本文研究的關(guān)鍵詞和核心專業(yè)術(shù)語(yǔ)進(jìn)行了概念辨析,同時(shí)梳理了國(guó)內(nèi)外相關(guān)研究狀況,介紹了本文研究所依據(jù)的原始文獻(xiàn),明確了本文研究的理論和方法。第一章為倫敦弗吉尼亞公司的建立。主要闡述倫敦弗吉尼亞公司建立的背景以及首部特許狀所規(guī)定公司制度。在背景中主要論述了英國(guó)北美殖民觀念的興起,以及在這一背景下倫敦弗吉尼亞公司如何建立;在公司制度一節(jié)中,主要通過(guò)1616年的特許狀和公司一系列的指令來(lái)論述公司最初的制度設(shè)計(jì)和登陸選址原則。第二章為倫敦弗吉尼亞公司的法人化。主要論述了倫敦弗吉尼亞公司申請(qǐng)第二份特許狀的原因和過(guò)程,以及依據(jù)第二部特許公司的制度如何調(diào)整。第二部特許狀使倫敦弗吉尼亞公司獲得法人地位,成為具有法律人格的社會(huì)組織。第三章為倫敦弗吉尼亞公司的制度調(diào)整。首先論述了公司在成為法人實(shí)體后,開始采用總督的方式來(lái)管理殖民地,進(jìn)而描述了殖民地三任總督統(tǒng)治下的發(fā)展情況,以及在這期間,公司開始面臨土地私有化問(wèn)題。接著論述了公司申請(qǐng)第三部特許狀的原因以及在第三部特許狀頒布后,公司的制度如何調(diào)整的內(nèi)容;除此之外還論述了公司在1618年進(jìn)行了重大的改革。第四章為倫敦弗吉尼亞公司的解散和轉(zhuǎn)型。論述了公司在內(nèi)部存在派別斗爭(zhēng),外部又經(jīng)歷了大屠殺事件后,逐漸走向解體的情況。梳理了公司解體的過(guò)程、特許狀的收回以及國(guó)王對(duì)弗吉尼亞殖民地的改組情況等。結(jié)語(yǔ)部分旨在對(duì)倫敦弗吉尼亞公司的制度變遷進(jìn)行總結(jié)和概括。
[Abstract]:The establishment of the British Chartered Company in early modern times had a profound influence on the transformation of Britain into the modern society. The Virginia Company of London is a case of many British Chartered Company. It is not only a share type, but also a microcosm of the predecessor of the modern stock company. The company is mainly a colony for the purpose of its series. The system has an important impact on the development of British North American colonies. At present, few scholars have been involved in the research on this issue. Although foreign scholars have paid attention to it very early, they do not do systematic research on the institutional changes of the The Virginia Company of London. Therefore, this article chooses the institutional change of the The Virginia Company of London as a result.
