基于知識基礎(chǔ)觀的海外并購技術(shù)整合及風(fēng)險(xiǎn)研究

【摘要】:目前中國制造業(yè)“大而不強(qiáng)”,總體技術(shù)水平落后,自主創(chuàng)新能力弱。我國與世界制造強(qiáng)國的差距主要體現(xiàn)在部分關(guān)鍵核心技術(shù)缺失,制造業(yè)產(chǎn)業(yè)供給側(cè)改革勢在必行。經(jīng)濟(jì)全球化不斷加速,并購毫無疑問地成為企業(yè)提升競爭力、快速獲得成長的一條重要途徑;但與此同時(shí),并購涉及到戰(zhàn)略規(guī)劃、文化融合、組織管理水平和并購整合等多方面難題,導(dǎo)致并購結(jié)果往往以失敗告終,居高不下的并購失敗率讓大多數(shù)企業(yè)望而卻步。海外并購作為中國制造業(yè)企業(yè)獲取核心技術(shù),提高企業(yè)競爭力水平的重要方式,發(fā)展勢頭強(qiáng)勁,然而如何通過并購,提升企業(yè)技術(shù)水平和自主創(chuàng)新能力的問題仍然普遍存在。本文通過查閱國內(nèi)外相關(guān)文獻(xiàn),了解最新研究動態(tài),以并購理論、技術(shù)整合理論、核心競爭力理論、知識基礎(chǔ)觀理論為基礎(chǔ),吸收和借鑒了國內(nèi)外相關(guān)文獻(xiàn)的研究成果,使用多案例分析的研究方法,結(jié)合知識基礎(chǔ)觀理論,探索企業(yè)并購后實(shí)現(xiàn)技術(shù)整合的一般路徑,并以中國制造業(yè)企業(yè)的海外并購事件為案例,分析并購各階段存在的問題與風(fēng)險(xiǎn),探討有利于中國制造業(yè)企業(yè)通過海外并購實(shí)現(xiàn)技術(shù)創(chuàng)新的技術(shù)整合策略。知識是技術(shù)的本質(zhì),技術(shù)的有效轉(zhuǎn)移、應(yīng)用和提升過程,就是知識的轉(zhuǎn)移與提升的過程。知識基礎(chǔ)觀理論是從知識的角度解釋企業(yè)通過并購獲取核心技術(shù),得到競爭力的理論基礎(chǔ),技術(shù)整合是解釋企業(yè)通過并購獲得技術(shù)創(chuàng)新的方式。根據(jù)知識基礎(chǔ)觀的理論研究成果,結(jié)合技術(shù)獲取型并購的特點(diǎn),本文將并購技術(shù)整合的過程主要分為三個(gè)階段,即技術(shù)甄別、技術(shù)遷移、技術(shù)重構(gòu),并將知識管理與技術(shù)整合過程相聯(lián)系,探索知識要素在整個(gè)并購過程中的識別、遷移、融合、創(chuàng)造過程;谏鲜隼碚摲治,并對中國制造業(yè)企業(yè)A公司、B公司、C公司的并購后技術(shù)整合成功案例進(jìn)行多案例分析,本文將探索基于知識管理的技術(shù)整合路徑,從整合過程和知識管理兩個(gè)維度描述中國制造業(yè)企業(yè)技術(shù)能力的演進(jìn)機(jī)制。本文發(fā)現(xiàn),目前中國制造業(yè)企業(yè)通過海外并購提升企業(yè)技術(shù)能力,將面臨“落后-引進(jìn)-再落后-再引進(jìn)”的怪圈。為了達(dá)成“中國制造2025”的目標(biāo),擺脫“大而不強(qiáng)”的制造業(yè)被動局面,中國制造業(yè)技術(shù)整合應(yīng)注重企業(yè)創(chuàng)造知識的能力的提升,向自主創(chuàng)新的方向前行。從本質(zhì)上看,制造企業(yè)并購后技術(shù)整合是一個(gè)精心設(shè)計(jì)的能力更新過程,通過整合跨越技術(shù)創(chuàng)新鴻溝,可以達(dá)到技術(shù)能力追趕甚至技術(shù)超越,而且推動了國家戰(zhàn)略轉(zhuǎn)型。
[Abstract]:At present, China's manufacturing industry is "big but not strong", the overall technical level is backward, independent innovation ability is weak. The gap between China and the world manufacturing power is mainly reflected in the lack of some key core technologies, and the supply-side reform of manufacturing industry is imperative. With the acceleration of economic globalization, mergers and acquisitions have undoubtedly become an important way for enterprises to enhance their competitiveness and gain rapid growth. But at the same time, mergers and acquisitions involve strategic planning and cultural integration. The level of organization management and the integration of mergers and acquisitions lead to the failure of mergers and acquisitions, and the high failure rate of mergers and acquisitions makes most enterprises prohibitive. As an important way for Chinese manufacturing enterprises to acquire core technology and improve their competitiveness, overseas M & A has a strong development momentum. However, the problem of how to improve the technological level and independent innovation ability of enterprises through M & A is still widespread. Based on the theory of merger and acquisition, the theory of technology integration, the theory of core competence and the theory of knowledge base, this paper absorbs and draws lessons from the research results of relevant literature at home and abroad. Using the research method of multi-case analysis and combining the theory of knowledge base view, this paper explores the general path of technological integration after M & A, and takes the overseas M & A event of Chinese manufacturing enterprises as a case study. This paper analyzes the problems and risks in various stages of M & A, and probes into the technical integration strategies which are beneficial to the technological innovation of Chinese manufacturing enterprises through overseas M & A. Knowledge is the essence of technology, the effective transfer, application and promotion of technology, is the process of knowledge transfer and promotion. The theory of knowledge based view is the theoretical basis for enterprises to acquire core technology through M & A and obtain competitiveness from the angle of knowledge. Technology integration is the way to explain how enterprises acquire technological innovation through M & A. According to the theoretical research results of knowledge based view and the characteristics of technology acquisition M & A, this paper divides the process of technology integration into three stages, namely, technology screening, technology transfer, technology reconstruction. Knowledge management is connected with the process of technology integration to explore the process of identifying, transferring, merging and creating knowledge elements in the whole process of M & A. Based on the above theoretical analysis, this paper will explore the path of technology integration based on knowledge management. This paper describes the evolution mechanism of the technological capability of Chinese manufacturing enterprises from the two dimensions of integration process and knowledge management. In this paper, it is found that at present, Chinese manufacturing enterprises will face the strange circle of "backwardness-introduction-again backwardness-reintroduction" if they upgrade their technological capability through overseas mergers and acquisitions. In order to achieve the goal of "made in China 2025" and get rid of the passive situation of "large but not strong" manufacturing industry, the technological integration of Chinese manufacturing industry should pay attention to the enhancement of enterprises' ability to create knowledge and move forward to the direction of independent innovation. In essence, technological integration after M & A of manufacturing enterprises is a carefully designed process of capability renewal. Through integration, technological capability can catch up with or even surpass the technological innovation gap, and it also promotes the strategic transformation of the country.
