【摘要】：海外并購被看做是企業(yè)快速占領(lǐng)市場、創(chuàng)新技術(shù)、走向國際的最佳可選途徑之一。近年來我國企業(yè)海外并購熱情異常高漲,許多企業(yè)將海外并購作為企業(yè)邁向國際化的一條捷徑。但不少研究表明我國企業(yè)參與海外并購的雖多,成功的卻不多,能為企業(yè)帶來財(cái)富收益的更少。2012年末濰柴動力并購德國凱傲公司,創(chuàng)造了當(dāng)時(shí)中國赴德的最大一筆直接投資,不僅又一次延伸了企業(yè)的產(chǎn)業(yè)鏈條,更使企業(yè)一步邁入全球液壓行業(yè)的頂尖行列,同時(shí)也將有助于改變我國高端液壓產(chǎn)品長期依賴進(jìn)口的局面。在海外并購被我國企業(yè)激烈追捧的當(dāng)下,濰柴的并購經(jīng)驗(yàn)具有一定啟示意義。本文以濰柴動力并購德國凱傲公司的動因和績效分析為研究內(nèi)容。在梳理相關(guān)研究文獻(xiàn),理論成果以及總結(jié)行業(yè)并購現(xiàn)狀的基礎(chǔ)上,對濰柴并購凱傲公司的全過程進(jìn)行了詳細(xì)分析,包括并購產(chǎn)生的動因、過程、資金來源、后期整合等。然后利用事件分析法、財(cái)務(wù)指標(biāo)分析法和經(jīng)濟(jì)增加值分析法從短期和長期兩個方面詳細(xì)分析海外并購對濰柴動力績效產(chǎn)生的影響,研究發(fā)現(xiàn)海外并購一定程度上為濰柴打開了海外市場,給企業(yè)帶來經(jīng)濟(jì)效益,尤其是在國內(nèi)市場不景氣的情況下,成為濰柴利潤的主要增長點(diǎn)。最后,建議我國汽車企業(yè)要基于企業(yè)發(fā)展戰(zhàn)略理性對待海外并購,注重并購后的整合,并且要不斷提高自身核心競爭力。
[Abstract]:Overseas M & A is regarded as one of the best ways for enterprises to quickly occupy the market, innovate technology and go international. In recent years, the enthusiasm of overseas M & A of Chinese enterprises is very high, many enterprises regard overseas M & A as a shortcut to internationalization. However, many studies have shown that although more Chinese enterprises are involved in overseas mergers and acquisitions, there are not many successful ones, and fewer of them can bring wealth to enterprises. In late 2012, Weichai's merger and acquisition of Germany's Keao Company created the largest direct investment by China to Germany at that time. It not only extends the industrial chain of the enterprise once more, but also makes the enterprise step into the top rank of the global hydraulic industry, and will help to change the situation of our country's high-end hydraulic products relying on imports for a long time. At present, Weichai's M & A experience has some enlightening significance at a time when overseas M & A has been pursued by Chinese enterprises. This paper focuses on the motivation and performance analysis of Weichai Power M & A. On the basis of combing relevant research literature, theoretical results and summarizing the current situation of M & A in the industry, this paper makes a detailed analysis of the whole process of Weichai's merger and acquisition of Kaiao Company, including the causes, processes, sources of funds, late integration and so on. Then, by means of event analysis, financial index analysis and economic added value analysis, the impact of overseas M & A on the dynamic performance of Weichai is analyzed in detail in the short and long term. It is found that the overseas M & A has opened up the overseas market for Weichai to some extent and brought economic benefits to the enterprises, especially in the domestic market, which has become the main growth point of Weichai profit. Finally, it is suggested that Chinese automobile enterprises should treat overseas mergers and acquisitions rationally based on the development strategy of enterprises, pay attention to the integration after mergers and acquisitions, and constantly improve their core competitiveness.
