【摘要】：本文以2011-2015年A股制造業(yè)公司為研究樣本,分析了管理層過(guò)度自信與公司績(jī)效的相關(guān)性,以及董事會(huì)治理對(duì)二者關(guān)系的調(diào)節(jié)作用。研究發(fā)現(xiàn)管理層過(guò)度自信與公司績(jī)效呈現(xiàn)負(fù)相關(guān)關(guān)系。董事長(zhǎng)和總經(jīng)理兩職合一相較于兩職分離,過(guò)度自信對(duì)公司績(jī)效的負(fù)向影響越強(qiáng)。上市公司的董事會(huì)規(guī)模越大,過(guò)度自信對(duì)公司績(jī)效的負(fù)向影響越強(qiáng)。上市公司的獨(dú)立董事比重的增加,并沒(méi)有顯著減弱管理層過(guò)度自信與公司績(jī)效的負(fù)向關(guān)系。
[Abstract]:This paper analyzes the relationship between management overconfidence and corporate performance and the role of board governance in regulating the relationship between A share manufacturing companies from 2011 to 2015. The study found that management overconfidence has a negative correlation with corporate performance. The negative impact of overconfidence on the performance of the company is stronger than the separation of the two positions. The larger the size of the board of directors, the stronger the negative impact of overconfidence on corporate performance. The increase in the proportion of independent directors in listed companies has not significantly weakened the negative relationship between management overconfidence and corporate performance.
