百圓褲業(yè)并購(gòu)環(huán)球易購(gòu)財(cái)務(wù)效應(yīng)研究

【摘要】:近年來(lái),由于傳統(tǒng)零售業(yè)產(chǎn)能過(guò)剩、房屋租金大幅上漲以及勞動(dòng)力成本上升等原因?qū)е虏簧僖詫?shí)體店經(jīng)營(yíng)為主的零售企業(yè)出現(xiàn)業(yè)績(jī)下滑,盈利水平下降的情況。如何實(shí)現(xiàn)企業(yè)業(yè)績(jī)扭虧為贏、實(shí)現(xiàn)企業(yè)轉(zhuǎn)型升級(jí)、增強(qiáng)市場(chǎng)競(jìng)爭(zhēng)力以及提升企業(yè)價(jià)值等問(wèn)題擺在了許多零售企業(yè)的面前。許多以實(shí)體店經(jīng)營(yíng)為主的傳統(tǒng)零售企業(yè)開(kāi)始通過(guò)并購(gòu)電商企業(yè)尋求企業(yè)績(jī)效提升和轉(zhuǎn)型升級(jí),從而實(shí)現(xiàn)企業(yè)的戰(zhàn)略調(diào)整和企業(yè)價(jià)值提升。針對(duì)以實(shí)體店經(jīng)營(yíng)為主的傳統(tǒng)零售企業(yè)是否可以通過(guò)并購(gòu)新興電商企業(yè)實(shí)現(xiàn)績(jī)效提升和轉(zhuǎn)型升級(jí),本文以百圓褲業(yè)并購(gòu)電商企業(yè)環(huán)球易購(gòu)為例,主要運(yùn)用案例分析法進(jìn)行研究分析。首先,通過(guò)對(duì)并購(gòu)的基礎(chǔ)理論進(jìn)行闡述,對(duì)并購(gòu)的理論及國(guó)內(nèi)外研究狀況進(jìn)行一定的梳理。接著,通過(guò)并購(gòu)協(xié)同效應(yīng)結(jié)合財(cái)務(wù)會(huì)計(jì)指標(biāo)的分析方式對(duì)百圓褲業(yè)并購(gòu)電商企業(yè)環(huán)球易購(gòu)的過(guò)程、動(dòng)因以及并購(gòu)?fù)瓿汕昂蟀賵A褲業(yè)的相關(guān)財(cái)務(wù)會(huì)計(jì)指標(biāo)進(jìn)行分析,得出并購(gòu)后百圓褲業(yè)在管理能力、盈利能力和償債能力等方面均有較大提升,獲得了很好的協(xié)同效應(yīng)。其次,通過(guò)一般績(jī)效、經(jīng)濟(jì)增加值和市場(chǎng)增加值的分析方法對(duì)百圓褲業(yè)并購(gòu)環(huán)球易購(gòu)前后的績(jī)效進(jìn)行分析,得出并購(gòu)后百圓褲業(yè)的績(jī)效有大幅度提升。再次,通過(guò)對(duì)百圓褲業(yè)并購(gòu)后潛在的風(fēng)險(xiǎn)和應(yīng)對(duì)措施進(jìn)行分析,得出百圓褲業(yè)并購(gòu)后對(duì)風(fēng)險(xiǎn)處理的措施十分得當(dāng),并購(gòu)后的整合很好。最后,通過(guò)上述的分析結(jié)果,得出百圓褲業(yè)并購(gòu)環(huán)球易購(gòu)在提升企業(yè)績(jī)效和實(shí)現(xiàn)轉(zhuǎn)型升級(jí)方面都有十分積極的影響,認(rèn)為以實(shí)體店經(jīng)營(yíng)為主的零售企業(yè)通過(guò)并購(gòu)電商企業(yè)尋求轉(zhuǎn)型升級(jí)的方式是值得借鑒的。
[Abstract]:In recent years, due to the overcapacity of traditional retail industry, the sharp rise of housing rent and the rise of labor costs, many retail enterprises mainly operated by physical stores have seen their performance decline and their profit level declined. Many retail enterprises are confronted with such problems as how to turn their losses into winners, how to realize the transformation and upgrading of enterprises, how to enhance market competitiveness and enhance the value of enterprises. Many traditional retail enterprises, which mainly operate physical stores, begin to seek performance improvement and transformation and upgrading through mergers and acquisitions of e-commerce enterprises, so as to achieve strategic adjustment and enterprise value enhancement. In view of whether the traditional retail enterprises mainly in physical stores can achieve performance improvement and transformation and upgrading through mergers and acquisitions of emerging ecommerce enterprises, this paper takes 100 Yuan trousers as an example to buy e-commerce enterprises around the world. Mainly use the case analysis method to carry on the research and analysis. First of all, through the basic theory of M & A, the M A theory and domestic and foreign research status are combed. Then, the paper analyzes the process, motivation and related financial accounting indicators of 100 yuan trousers industry after the completion of the merger by combining the synergy effect of M & A with the analysis of financial accounting indicators. It is concluded that after the merger and acquisition, the management ability, profitability and solvency of the 100 round trousers industry have been greatly improved, and good synergistic effect has been obtained. Secondly, through the analysis of general performance, economic added value and market value added, the paper analyzes the performance before and after the M & A of 100 round trousers industry, and draws a conclusion that the performance of 100 round trousers industry has greatly improved after the merger. Thirdly, through the analysis of the potential risks and countermeasures after the M & A of Baiduan Pants Industry, it is concluded that the measures to deal with the risks after M & A are very appropriate, and the integration after M & A is very good. Finally, through the results of the above analysis, it is concluded that the merger and acquisition of Global easy Purchasing in Baiyuan Pants Industry has a very positive impact on improving enterprise performance and achieving transformation and upgrading. It is worth learning from the retail enterprises which are mainly managed by physical stores to seek the way of transformation and upgrading through the acquisition of e-commerce enterprises.
