【摘要】：本文以天目藥業(yè)發(fā)生股權(quán)交易后的關(guān)聯(lián)交易為案例,分析了該企業(yè)在關(guān)聯(lián)交易信息披露中存在的違規(guī)現(xiàn)象,并通過分析得出了發(fā)生信息披露違規(guī)現(xiàn)象的基本原因在于企業(yè)的治理存在問題和缺陷,同時(shí)也明確了小股東在關(guān)聯(lián)交易中容易被大股東侵占資金的事實(shí)。最后根據(jù)天目藥業(yè)關(guān)聯(lián)交易信息披露出現(xiàn)的問題,提出了我國(guó)上市企業(yè)關(guān)聯(lián)交易信息披露的規(guī)范及企業(yè)治理的改進(jìn)措施,對(duì)我國(guó)上市企業(yè)的治理水平提升和保障中小股東權(quán)益有著重要的參考價(jià)值。
[Abstract]:This paper takes the related transaction after the stock right transaction in Tianmu Pharmaceutical Industry as a case to analyze the phenomenon of violation in the disclosure of related party transaction information in this enterprise.And through the analysis of the phenomenon of information disclosure irregularities, the basic reason lies in the problems and defects in corporate governance, but also clear the fact that minority shareholders are liable to be embezzled by large shareholders in related party transactions.Finally, according to the problems in the disclosure of related transaction information in Tianmu Pharmaceutical Industry, this paper puts forward the standard of information disclosure of related party transactions of listed enterprises in our country and the improvement measures of corporate governance.It has important reference value for improving the governance level of Chinese listed enterprises and protecting the rights and interests of minority shareholders.
