【摘要】：股權(quán)激勵(lì)是西方發(fā)達(dá)企業(yè)常用的激勵(lì)方式,也是近幾年中國企業(yè)開始加速推廣的管理模式,其中民營上市公司由于內(nèi)部治理結(jié)構(gòu)更合理,外部監(jiān)管更寬松,逐步成為國內(nèi)股權(quán)激勵(lì)最主要的實(shí)施群體。然而中國民營上市公司股權(quán)激勵(lì)在迅速發(fā)展的同時(shí)也暴露了不少問題,這些問題弱化了股權(quán)激勵(lì)的有效性,阻礙了民營上市公司的進(jìn)一步發(fā)展。本文基于這樣的背景下,選取生物醫(yī)藥行業(yè)中自主研發(fā)能力高且排名前列的民營上市公司AKSW作為研究樣本,通過分析該公司股權(quán)激勵(lì)存在的問題,并針對(duì)性提出相關(guān)改善建議,以期為其他類似民營上市公司成功實(shí)施股權(quán)激勵(lì)提供一定的幫助。本文內(nèi)容包括六章,首先介紹了本文的研究背景和意義,接著是對(duì)國內(nèi)外文獻(xiàn)綜述,股權(quán)激勵(lì)的相關(guān)概念和理論基礎(chǔ)進(jìn)行簡述。之后在該理論基礎(chǔ)上展開了 AKSW公司股權(quán)激勵(lì)方案及有效性的分析,其中從實(shí)施背景、動(dòng)機(jī)和實(shí)施過程對(duì)股權(quán)激勵(lì)方案進(jìn)行描述,從經(jīng)營績效狀況、投資狀況、員工結(jié)構(gòu)狀況和科研狀況對(duì)股權(quán)激勵(lì)有效性進(jìn)行分析。最后是案例啟示、研究結(jié)論和展望。本文采用了案例分析法,文獻(xiàn)研究法等研究方法,通過對(duì)AKSW公司的股權(quán)激勵(lì)方案及有效性進(jìn)行分析,在此基礎(chǔ)上總結(jié)其股權(quán)激勵(lì)可借鑒之處和待完善之處,并針對(duì)性的提出制定適宜的股權(quán)激勵(lì)方案、建立全面合理的考核指標(biāo)體系、完善公司內(nèi)部治理結(jié)構(gòu)和健全相關(guān)法律法規(guī)四點(diǎn)改善建議,以期能為其他類似的民營上市公司制定股權(quán)激勵(lì)方案時(shí)提供一定的借鑒價(jià)值。
[Abstract]:Equity incentive is the western developed enterprises used incentives, but also in recent years Chinese enterprises began to accelerate the promotion of the management mode, the private listed companies due to the internal governance structure is more reasonable, more relaxed external supervision, become the main domestic equity incentive implementation groups gradually. However Chinese equity incentives of private listed company while developing rapidly it also exposed many problems, these problems weakened the effectiveness of the equity incentive, hindered the further development of private listed companies. Based on this background, selection of bio pharmaceutical industry in R & D capability and high ranked the forefront of the private listed company AKSW as the research sample, through the analysis of the company's equity incentive problems.
