【摘要】：伴隨我國市場經(jīng)濟(jì)的建立與完善、全球經(jīng)濟(jì)一體化進(jìn)程的加快,我國企業(yè)的改革發(fā)展取得了巨大成效。在企業(yè)的經(jīng)營管理離不開合同,但是由于多種原因,很多企業(yè),甚至有些大型企業(yè)對(duì)合同管理不夠重視,缺少對(duì)合同風(fēng)險(xiǎn)防范與管理手段。A企業(yè)是從事汽車生產(chǎn)銷售的大型企業(yè),在合同管理方面同樣存在一定的不足。而在市場經(jīng)濟(jì)條件下,合同管理的規(guī)范化、科學(xué)化程度可以從根本上反映企業(yè)是否處于可控狀態(tài),它是用于衡量企業(yè)管理水平的標(biāo)準(zhǔn)之一,從某種程度上來說,它也是反映企業(yè)管理水平的晴雨表,對(duì)企業(yè)經(jīng)營的成敗有著直接影響。本文在對(duì)風(fēng)險(xiǎn)管理、合同管理理論研究綜述的基礎(chǔ)上,以A公司作為實(shí)際案例進(jìn)行分析,通過對(duì)該企業(yè)的合同管理狀況的診斷,對(duì)合同管理的完善提出了相應(yīng)的意見和建議。本文主要從以下五方面進(jìn)行研究:第一,對(duì)本文的研究背景、研究意義、研究方法、研究內(nèi)容和創(chuàng)新之處進(jìn)行闡述;第二,闡述了合同管理、風(fēng)險(xiǎn)管理和合同風(fēng)險(xiǎn)管理的定義,并對(duì)國內(nèi)外專家學(xué)者在合同風(fēng)險(xiǎn)管理理論方面的研究成果進(jìn)行了總結(jié)概述,為本文接下來的研究提供了指引;第三,對(duì)A公司的合同風(fēng)險(xiǎn)管理現(xiàn)狀進(jìn)行診斷,指出其不足之處,并通過對(duì)公司的調(diào)研和專家的訪談等方式識(shí)別出公司所存在的五大合同風(fēng)險(xiǎn)要素,以及采用問卷調(diào)查的方式來對(duì)各項(xiàng)風(fēng)險(xiǎn)要素的重要程度進(jìn)行打分,為下一步合同風(fēng)險(xiǎn)管理體系的設(shè)計(jì)和構(gòu)建打好基礎(chǔ);第四,針對(duì)上一部分研究所得出最亟待改善的合同風(fēng)險(xiǎn)要素,圍繞此要素來設(shè)計(jì)合同管理體系,以便對(duì)其進(jìn)行有效控制,同時(shí),將顧客滿意的概念引入到合同效果評(píng)價(jià)中;最后,針對(duì)A公司在合同管理上所存在的薄弱之處,從健全合同風(fēng)險(xiǎn)管理機(jī)制、完善合同條款內(nèi)容、健全合同風(fēng)險(xiǎn)管理有關(guān)制度和提高員工合同風(fēng)險(xiǎn)意識(shí)等方面提出改進(jìn)建議。
[Abstract]:With the establishment and perfection of our market economy and the acceleration of the process of global economic integration, great achievements have been made in the reform and development of enterprises in our country. The operation and management of enterprises can not be separated from contracts, but for a variety of reasons. Many enterprises, even some large enterprises do not pay enough attention to the contract management, lack of the contract risk prevention and management means. A enterprise is engaged in automobile production and sales of large enterprises. Under the condition of market economy, the standardization and scientific degree of contract management can fundamentally reflect whether the enterprise is in a controllable state. It is one of the standards used to measure the level of enterprise management. To some extent, it is also a barometer reflecting the level of enterprise management, which has a direct impact on the success or failure of enterprise management. On the basis of summarizing the theory of contract management, taking A company as a practical case to analyze, through the diagnosis of the contract management situation of the enterprise. This paper mainly from the following five aspects of research: first, the research background, research significance, research methods. The contents and innovations of the research are expounded; Secondly, the definition of contract management, risk management and contract risk management is expounded, and the research results of domestic and foreign experts and scholars in the theory of contract risk management are summarized. It provides guidance for the next research in this paper. Third, the company's contract risk management status quo diagnosis, pointing out its shortcomings, and through the company's research and expert interviews to identify the company's five major elements of contract risk. And the use of questionnaire survey to assess the importance of each risk factor, for the next step of the design and construction of the risk management system to lay a good foundation; 4th, in view of the most urgent need to improve the risk factor of contract, design the contract management system around this factor, in order to control it effectively, at the same time. The concept of customer satisfaction is introduced into the evaluation of contract effect. Finally, aiming at the weakness of A company in the contract management, from the sound contract risk management mechanism, consummates the contract clause content. Improve the contract risk management system and improve the employee's awareness of contract risk.
