【摘要】：自21世紀(jì)以來(lái)，國(guó)家鼓勵(lì)民營(yíng)經(jīng)濟(jì)的發(fā)展，民營(yíng)經(jīng)濟(jì)在我國(guó)的國(guó)民生產(chǎn)總值中占據(jù)著十分重要的位置。根據(jù)2013年批露的生產(chǎn)總值數(shù)據(jù)組成，民營(yíng)經(jīng)濟(jì)對(duì)GDP的貢獻(xiàn)超過(guò)了國(guó)有經(jīng)濟(jì)，占整個(gè)國(guó)民生產(chǎn)總值的62%，民營(yíng)經(jīng)濟(jì)的崛起為我國(guó)的經(jīng)濟(jì)發(fā)展增添活力。然而以科技型企業(yè)為主體的民營(yíng)經(jīng)濟(jì)在運(yùn)行中不是十分順利的，經(jīng)常會(huì)遇到資金短缺等問(wèn)題，由于科技型企業(yè)規(guī)模不大，資本小，難以從國(guó)有銀行貸得較高的資本，嚴(yán)重制約了企業(yè)的發(fā)展和壯大。根據(jù)對(duì)科技型企業(yè)的調(diào)查發(fā)現(xiàn)，公司雖然沒(méi)有足夠的物力，但其往往擁有先進(jìn)的技術(shù)、專(zhuān)利以及著作權(quán)等知識(shí)產(chǎn)權(quán)，特別對(duì)于以計(jì)算機(jī)編程為主的科技公司。通過(guò)對(duì)國(guó)外的調(diào)查和研究，，國(guó)家于2006年出臺(tái)了科技型企業(yè)可通過(guò)質(zhì)押知識(shí)產(chǎn)權(quán)來(lái)融資的相關(guān)政策，可幫助企業(yè)解決融資困難的問(wèn)題。 由于自政策開(kāi)放至今年限較短，知識(shí)產(chǎn)權(quán)質(zhì)押融資市場(chǎng)在中國(guó)還不是十分成熟，相關(guān)的法律政策還不是十分規(guī)范和健全，有很多有待于進(jìn)一步改進(jìn)的地方。文章通過(guò)文獻(xiàn)調(diào)查、企業(yè)實(shí)地采訪等研究方法，對(duì)科技型企業(yè)的質(zhì)押制度、運(yùn)行環(huán)境以及我國(guó)的現(xiàn)狀等進(jìn)行深入研究，指出我國(guó)知識(shí)產(chǎn)權(quán)在抵押融資過(guò)程中存在法律不健全以及產(chǎn)權(quán)的價(jià)值評(píng)估不清等問(wèn)題，為我國(guó)的相關(guān)法律的改革和完善指明了方向。文中最后就我國(guó)現(xiàn)階段存在的問(wèn)題，分別從加強(qiáng)政府引導(dǎo)、制度相關(guān)法律來(lái)健全質(zhì)押融資的交易過(guò)程、認(rèn)定相關(guān)權(quán)威機(jī)構(gòu)知識(shí)產(chǎn)權(quán)的市場(chǎng)價(jià)值進(jìn)行評(píng)估等角度提出了相關(guān)可操作建議。本文的研究對(duì)于改善知識(shí)產(chǎn)權(quán)質(zhì)押融資的運(yùn)行環(huán)境和保障交易過(guò)程的公平性具有重要的意義。
[Abstract]:Since the 21st century, the state encourages the development of the private economy, which occupies a very important position in the gross national product of our country. According to the data of GDP released in 2013, the contribution of private economy to GDP exceeds that of state-owned economy, accounting for 622% of GDP. The rise of private economy adds vitality to the economic development of our country. However, the private economy with science and technology enterprises as the main body is not very smooth in its operation, and it often encounters problems such as capital shortage. Because of the small scale and small capital of the science and technology enterprises, it is difficult to obtain higher capital from the state-owned banks. Seriously restricted the development and growth of enterprises. According to the investigation of science and technology enterprises, although they do not have enough material resources, they often have advanced technology, patents and copyrights, especially for technology companies which mainly use computer programming. Through the investigation and research of foreign countries, in 2006, the state issued the related policy that the sci-tech enterprises can raise funds through the pledge of intellectual property rights, which can help the enterprises to solve the problem of financing difficulties. Because of the short period since the opening of the policy, the intellectual property mortgage financing market is not very mature in China, the relevant legal policies are not very standardized and sound, there are many areas to be further improved. Through literature investigation, field interview and other research methods, this paper makes an in-depth study on the pledge system, operating environment and the current situation of science and technology enterprises in China. It is pointed out that there are some problems in the process of mortgage financing of intellectual property in our country, such as imperfect laws and unclear evaluation of property rights, which points out the direction for the reform and perfection of relevant laws in our country. Finally, in view of the problems existing in our country at the present stage, we will improve the transaction process of pledge financing by strengthening the government's guidance and system related laws. The market value of intellectual property rights of relevant authority is evaluated, and relevant operational suggestions are put forward. The research in this paper is of great significance to improve the operating environment of intellectual property pledge financing and to ensure the fairness of transaction process.
