本文選題：企業(yè)法律風險管理　切入點：中小企業(yè)　出處：《復旦大學》2014年碩士論文

【摘要】：2012年《企業(yè)法律風險管理指南》(下簡稱“指南”)的正式實施,對企業(yè)法律風險管理的定義、管理原則給出了較為正式的官方解釋,并對企業(yè)進行法律風險管理的過程和實施提供了指引性大綱,此舉也意味著企業(yè)法律風險管理正逐步在國內(nèi)推廣。然而,該《指南》所列標準主要針對國內(nèi)大型企業(yè),對于中小企業(yè),《指南》并未有相應的指引；同時,筆者2013年4月在廣州SL律師事務所實習接觸到企業(yè)法律風險管理業(yè)務時,發(fā)現(xiàn)廣州大部分中小企業(yè)對該業(yè)務僅略有耳聞,在實際操作過程中缺乏理論支撐,不知該如何識別企業(yè)法律風險并進行防范；另一方面,筆者通過對相關(guān)文獻的搜索,從其中的數(shù)據(jù)分析中得知從2007年至今我國中小企業(yè)的風險管理狀況仍然令人堪憂,不少中小企業(yè)內(nèi)部并未設有法律顧問,在企業(yè)內(nèi)部進行法律風險管理時缺乏相應專業(yè)人員,在法律方面投入費用比例較低。因此,針對中小企業(yè)在法律風險管理上所面臨的困境,結(jié)合目前我國的法律風險管理環(huán)境,本文對中小企業(yè)常見的法律風險——合同管理、知識產(chǎn)權(quán)、人力資源三方面進行分析,指出其中的常見風險點,并對如何防范進行介紹。筆者希望通過本文能夠為中小企業(yè)進行法律風險管理提供幫助,同時也希望為企業(yè)法律風險管理的研究貢獻一份力量。
[Abstract]:The formal implementation of the "Enterprise legal risk Management Guide" (hereinafter referred to as "the Guide") in 2012 provides a more formal official interpretation of the definition and management principles of enterprise legal risk management. It also provides a guiding outline for the process and implementation of legal risk management in enterprises, which also means that the legal risk management of enterprises is gradually being promoted in China. However, the standards listed in the guidelines are mainly aimed at large domestic enterprises. For small and medium-sized enterprises, the Guide has no corresponding guidance. At the same time, when I interned in Guangzhou SL Law firm in April 2013, I found that most of the small and medium-sized enterprises in Guangzhou have only heard about this business. Lack of theoretical support in the actual operation process, I do not know how to identify corporate legal risks and guard against; on the other hand, the author through the search for relevant literature, From the analysis of the data, we know that the risk management situation of SMEs in China is still worrisome from 2007 to now. Many SMEs do not have legal consultants, and they lack the corresponding professional personnel when carrying out legal risk management in enterprises. Therefore, in view of the difficulties faced by small and medium-sized enterprises in legal risk management, combined with the current legal risk management environment of our country, this paper deals with the common legal risk of small and medium-sized enterprises-contract management. Three aspects of intellectual property rights and human resources are analyzed, the common risk points are pointed out, and how to prevent them is introduced. The author hopes to provide help for the legal risk management of small and medium-sized enterprises through this article. At the same time, I also hope to contribute to the research of enterprise legal risk management.
