【摘要】：2012年《企業(yè)法律風(fēng)險(xiǎn)管理指南》(下簡(jiǎn)稱“指南”)的正式實(shí)施,對(duì)企業(yè)法律風(fēng)險(xiǎn)管理的定義、管理原則給出了較為正式的官方解釋,并對(duì)企業(yè)進(jìn)行法律風(fēng)險(xiǎn)管理的過(guò)程和實(shí)施提供了指引性大綱,此舉也意味著企業(yè)法律風(fēng)險(xiǎn)管理正逐步在國(guó)內(nèi)推廣。然而,該《指南》所列標(biāo)準(zhǔn)主要針對(duì)國(guó)內(nèi)大型企業(yè),對(duì)于中小企業(yè),《指南》并未有相應(yīng)的指引；同時(shí),筆者2013年4月在廣州SL律師事務(wù)所實(shí)習(xí)接觸到企業(yè)法律風(fēng)險(xiǎn)管理業(yè)務(wù)時(shí),發(fā)現(xiàn)廣州大部分中小企業(yè)對(duì)該業(yè)務(wù)僅略有耳聞,在實(shí)際操作過(guò)程中缺乏理論支撐,不知該如何識(shí)別企業(yè)法律風(fēng)險(xiǎn)并進(jìn)行防范；另一方面,筆者通過(guò)對(duì)相關(guān)文獻(xiàn)的搜索,從其中的數(shù)據(jù)分析中得知從2007年至今我國(guó)中小企業(yè)的風(fēng)險(xiǎn)管理狀況仍然令人堪憂,不少中小企業(yè)內(nèi)部并未設(shè)有法律顧問(wèn),在企業(yè)內(nèi)部進(jìn)行法律風(fēng)險(xiǎn)管理時(shí)缺乏相應(yīng)專業(yè)人員,在法律方面投入費(fèi)用比例較低。因此,針對(duì)中小企業(yè)在法律風(fēng)險(xiǎn)管理上所面臨的困境,結(jié)合目前我國(guó)的法律風(fēng)險(xiǎn)管理環(huán)境,本文對(duì)中小企業(yè)常見(jiàn)的法律風(fēng)險(xiǎn)——合同管理、知識(shí)產(chǎn)權(quán)、人力資源三方面進(jìn)行分析,指出其中的常見(jiàn)風(fēng)險(xiǎn)點(diǎn),并對(duì)如何防范進(jìn)行介紹。筆者希望通過(guò)本文能夠?yàn)橹行∑髽I(yè)進(jìn)行法律風(fēng)險(xiǎn)管理提供幫助,同時(shí)也希望為企業(yè)法律風(fēng)險(xiǎn)管理的研究貢獻(xiàn)一份力量。
[Abstract]:The formal implementation of the "Enterprise legal risk Management Guide" (hereinafter referred to as "the Guide") in 2012 provides a more formal official interpretation of the definition and management principles of enterprise legal risk management. It also provides a guiding outline for the process and implementation of legal risk management in enterprises, which also means that the legal risk management of enterprises is gradually being promoted in China. However, the standards listed in the guidelines are mainly aimed at large domestic enterprises. For small and medium-sized enterprises, the Guide has no corresponding guidance. At the same time, when I interned in Guangzhou SL Law firm in April 2013, I found that most of the small and medium-sized enterprises in Guangzhou have only heard about this business. Lack of theoretical support in the actual operation process, I do not know how to identify corporate legal risks and guard against; on the other hand, the author through the search for relevant literature, From the analysis of the data, we know that the risk management situation of SMEs in China is still worrisome from 2007 to now. Many SMEs do not have legal consultants, and they lack the corresponding professional personnel when carrying out legal risk management in enterprises. Therefore, in view of the difficulties faced by small and medium-sized enterprises in legal risk management, combined with the current legal risk management environment of our country, this paper deals with the common legal risk of small and medium-sized enterprises-contract management. Three aspects of intellectual property rights and human resources are analyzed, the common risk points are pointed out, and how to prevent them is introduced. The author hopes to provide help for the legal risk management of small and medium-sized enterprises through this article. At the same time, I also hope to contribute to the research of enterprise legal risk management.
