【摘要】：在我國，中小企業(yè)融資難一直困擾著經(jīng)濟(jì)的發(fā)展，而知識(shí)產(chǎn)權(quán)占中小企業(yè)全部財(cái)產(chǎn)的比例卻隨著經(jīng)濟(jì)的發(fā)展而逐步的提高，運(yùn)用知識(shí)產(chǎn)權(quán)進(jìn)行質(zhì)押融資便成為我國中小企業(yè)緩解資金難問題的突破口。早在1995年10月1日施行的《中華人民共和國擔(dān)保法》就以法律的形式規(guī)定了知識(shí)產(chǎn)權(quán)可作為質(zhì)押標(biāo)的進(jìn)行質(zhì)押，此后的《中華人民共和國物權(quán)法》進(jìn)一步確立了知識(shí)產(chǎn)權(quán)質(zhì)押擔(dān)保的地位，為了使知識(shí)產(chǎn)權(quán)質(zhì)押順利運(yùn)行，質(zhì)押登記制度成為維護(hù)質(zhì)押交易安全的重要公示方式，國家相關(guān)部門相繼頒布了《專利權(quán)質(zhì)押登記辦法》、《注冊(cè)商標(biāo)專用權(quán)質(zhì)權(quán)登記程序規(guī)定》和《著作權(quán)質(zhì)權(quán)登記辦法》等部門規(guī)定，分別針對(duì)不同的知識(shí)產(chǎn)權(quán)規(guī)定了不同的質(zhì)押登記程序，在不同的質(zhì)押登記機(jī)關(guān)設(shè)置登記簿，以供相關(guān)當(dāng)事人查詢，不僅規(guī)范了質(zhì)押登記制度，也有效的保護(hù)了交易安全。 從比較法角度來看，各國知識(shí)產(chǎn)權(quán)質(zhì)押公示方式大多采用登記的模式，我國順應(yīng)了國際發(fā)展的趨勢，采用登記作為質(zhì)押公示的方式，登記的效力在于將知識(shí)產(chǎn)權(quán)上已設(shè)定的權(quán)利對(duì)外予以公示，進(jìn)而產(chǎn)生質(zhì)押擔(dān)保的效力，維護(hù)交易的安全。我國知識(shí)產(chǎn)權(quán)質(zhì)押登記制度還處于初級(jí)發(fā)展的階段，登記制度表現(xiàn)出質(zhì)押登記程序設(shè)置有不合理之處、質(zhì)押登記制度存在一定風(fēng)險(xiǎn)及登記公示形式發(fā)展較為落后等缺陷，需要不斷的予以完善。 本文除引言和結(jié)語外，，分為四章。 第一章：知識(shí)產(chǎn)權(quán)質(zhì)押登記制度基本理論。從知識(shí)產(chǎn)權(quán)質(zhì)押登記的概念和特征入手，分析登記制度的價(jià)值功能。研究知識(shí)產(chǎn)權(quán)質(zhì)押登記的效力內(nèi)容和范圍，對(duì)該登記制度形成基礎(chǔ)性認(rèn)識(shí)。 第二章：我國知識(shí)產(chǎn)權(quán)質(zhì)押登記制度的現(xiàn)狀和問題。分析我國知識(shí)產(chǎn)權(quán)質(zhì)押登記的現(xiàn)行立法規(guī)定和登記公示系統(tǒng)的運(yùn)行狀況，從而進(jìn)一步發(fā)現(xiàn)其中可能存在的問題。 第三章：域外知識(shí)產(chǎn)權(quán)質(zhì)押公示制度的比較法考察。大陸法系和英美法系的知識(shí)產(chǎn)權(quán)質(zhì)押公示制度理論各有特色，通過詳細(xì)比較，對(duì)我國的知識(shí)產(chǎn)權(quán)質(zhì)押登記制度產(chǎn)生借鑒作用。 第四章：完善我國知識(shí)產(chǎn)權(quán)質(zhì)押登記制度的對(duì)策。從健全立法、降低登記制度風(fēng)險(xiǎn)這二個(gè)角度提出改進(jìn)措施。
[Abstract]:In our country, the financing difficulty of small and medium-sized enterprises has been perplexing the development of economy, but the proportion of intellectual property to the total property of small and medium-sized enterprises is gradually increasing with the development of economy. The use of intellectual property rights to pledge financing has become a breakthrough for SMEs to ease the problem of capital difficulties. As early as October 1, 1995, the guarantee Law of the people's Republic of China stipulated intellectual property rights in the form of laws. May be pledged as the subject of the pledge, Since then, the property Law of the people's Republic of China has further established the status of the pledge of intellectual property rights. In order to make the pledge of intellectual property rights run smoothly, the pledge registration system has become an important way of publicizing the security of the pledge transaction. The relevant departments of the State have successively promulgated the measures for the Registration of Patent Pledge, the provisions on the Registration procedure for the Pledge of the exclusive Rights of registered trademarks, and the measures for the Registration of copyright Pledge, etc. According to different intellectual property rights, different pledge registration procedures are stipulated, and registration books are set up in different pledge registration authorities, which not only standardize the pledge registration system, but also effectively protect the transaction security. From the point of view of comparative law, most countries adopt the mode of registration for the publicity of pledge of intellectual property rights. China conforms to the trend of international development and adopts registration as the way of public announcement of pledge. The effectiveness of registration lies in publicizing the rights already established in intellectual property rights, thus producing the effectiveness of pledge guarantee and maintaining the security of transactions. The registration system of intellectual property pledge in China is still in the primary stage of development. The registration system shows the unreasonable setting of the pledge registration procedure. The pledge registration system has some defects such as certain risks and the backward development of the registration public form, which needs to be constantly improved. In addition to the introduction and conclusion, this article is divided into four chapters. The first chapter: the basic theory of intellectual property pledge registration system. Starting with the concept and characteristics of intellectual property pledge registration, this paper analyzes the value function of the registration system, and studies the content and scope of intellectual property pledge registration. The registration system to form a basic understanding. Chapter two: the present situation and problems of the registration system of intellectual property pledge in China. It analyzes the current legislative provisions of the pledge registration of intellectual property rights and the operation of the public registration system of intellectual property rights, and further finds out the problems that may exist in the system. Chapter three: a comparative study of the system of public pledge of intellectual property rights abroad. The theories of the public system of pledge of intellectual property in the civil law system and the common law system have their own characteristics, and are compared in detail. It can be used for reference to the registration system of intellectual property pledge in our country. Chapter four: the countermeasures to perfect the registration system of intellectual property pledge in our country. From the two angles of perfecting the legislation and reducing the risk of the registration system, the author puts forward the improvement measures.
