【摘要】：如今,知識(shí)產(chǎn)權(quán)作為一種新型的產(chǎn)業(yè),在經(jīng)濟(jì)發(fā)展中發(fā)揮著重要的作用。21世紀(jì)是信息化的時(shí)代,知識(shí)產(chǎn)權(quán)這一無(wú)形的信息對(duì)經(jīng)濟(jì)的發(fā)展會(huì)越來(lái)越重要。知識(shí)產(chǎn)權(quán)主要包括商標(biāo)權(quán)、著作權(quán)以及專利權(quán),這三種主要權(quán)利中要數(shù)專利權(quán)的科技含量最高,在經(jīng)濟(jì)大潮的發(fā)展中貢獻(xiàn)的力量相對(duì)也會(huì)較高。要想專利權(quán)展現(xiàn)它自身的價(jià)值,需要對(duì)其進(jìn)行技術(shù)的轉(zhuǎn)化,把無(wú)形的技術(shù)轉(zhuǎn)化成現(xiàn)實(shí)的生產(chǎn)力,促進(jìn)經(jīng)濟(jì)的快速發(fā)展。但是究其我國(guó)目前的專利權(quán)發(fā)展現(xiàn)狀,結(jié)果不甚樂(lè)觀,鑒于我國(guó)的相關(guān)的知識(shí)產(chǎn)權(quán)相關(guān)法律以及制度不是很健全,因此我國(guó)眾多的專利權(quán)并沒(méi)有真正轉(zhuǎn)化成生產(chǎn)力,發(fā)揮應(yīng)有的作用。鑒于此,加強(qiáng)對(duì)知識(shí)產(chǎn)權(quán)的理論研究尤其是專利權(quán)以及專利質(zhì)押融資的研究就顯得尤為重要和迫切。專利權(quán)作為無(wú)形的企業(yè)資產(chǎn),其自身價(jià)值是相當(dāng)可觀的,但是受制于其專業(yè)的領(lǐng)域,一般企業(yè)無(wú)法對(duì)其直接利用轉(zhuǎn)化,自身價(jià)值在實(shí)現(xiàn)時(shí)會(huì)遇到一些困境。專利在進(jìn)行轉(zhuǎn)換成生產(chǎn)力時(shí)需要大量的資金進(jìn)行支持,而掌握這些專利的中小企業(yè)卻缺乏足夠的資金,因此利用專利權(quán)進(jìn)行融資就成為那些科技型中小企業(yè)的發(fā)展的主要途徑。這種融資的方式,在相關(guān)法律中早已有了規(guī)定,但是實(shí)踐中作為放款方的銀行等金融機(jī)構(gòu)并不是很樂(lè)意進(jìn)行此種專利質(zhì)押融資業(yè)務(wù),因此我國(guó)的專利質(zhì)押融資業(yè)務(wù)發(fā)展相當(dāng)緩慢。銀行等金融機(jī)構(gòu)之所以不愿開展此種質(zhì)押融資業(yè)務(wù)主要還是因?yàn)閷＠麢?quán)具有極高的專業(yè)性,其價(jià)值不易評(píng)估,再加上專利實(shí)現(xiàn)需要專業(yè)的技術(shù),并且專利的價(jià)值還呈現(xiàn)不穩(wěn)定的因素,這一系列因素都是銀行等金融機(jī)構(gòu)望而卻步的原因。而那些中小型科技企業(yè)發(fā)展只能依賴于專利進(jìn)行融資發(fā)展,因此如何處理這一矛盾問(wèn)題對(duì)于促進(jìn)我國(guó)的經(jīng)濟(jì)發(fā)展顯得非常重要。筆者結(jié)合目前我國(guó)專利權(quán)質(zhì)押融資的理論及其實(shí)踐現(xiàn)狀,對(duì)我國(guó)專利權(quán)質(zhì)押融資中的法律問(wèn)題進(jìn)行研究探討,先分析了我國(guó)專利質(zhì)押融資的目前理論研究現(xiàn)狀及其概念,然后研究我國(guó)專利質(zhì)押融資出現(xiàn)的問(wèn)題,再分析域外國(guó)家地區(qū)的專利質(zhì)押融資制度并借鑒,最后提出完善我國(guó)專利質(zhì)押融資的建議。筆者在研究的過(guò)程中運(yùn)用多種研究方法力求全面的對(duì)專利質(zhì)押融資制度進(jìn)行研究分析,從中查出問(wèn)題總結(jié)經(jīng)驗(yàn),希望能提出自己一些淺薄的建議和看法,促進(jìn)專利質(zhì)押融資制度的發(fā)展,促進(jìn)科技型中小企業(yè)的發(fā)展,實(shí)現(xiàn)我國(guó)經(jīng)濟(jì)的整體發(fā)展。
[Abstract]:Nowadays, as a new type of industry, intellectual property plays an important role in economic development. The 21st century is an information age. Intellectual property, as an invisible information, will be more and more important to the development of economy. Intellectual property mainly includes trademark, copyright and patent right, among which the technology content of patent is the highest. In the development of the economic tide, the contribution of power will be relatively high. To show its own value, patent rights need to be transformed into technology, intangible technology into real productivity. Promote the rapid development of the economy. But the current situation of patent development in China, the results are not very optimistic, in view of the relevant intellectual property rights related laws and systems are not very sound. Therefore, many patent rights in our country have not really transformed into productive forces and played their due role. In view of this. It is particularly important and urgent to strengthen the theoretical research on intellectual property, especially the research on patent rights and patent pledge financing. As an intangible enterprise asset, the value of patent right itself is considerable. However, limited by its professional field, the general enterprise can not directly use its transformation, its own value will meet some difficulties in the realization of the patent in the process of conversion to productivity needs a lot of funds to support. However, the small and medium-sized enterprises that have these patents lack sufficient funds, so the use of patent for financing has become the main way for the development of these technology-based SMEs. There have been provisions in the relevant laws, but in practice as lenders banks and other financial institutions are not very willing to carry out this kind of patent pledge financing business. Therefore, the development of patent pledge financing business in China is very slow. The reason why banks and other financial institutions are unwilling to carry out this kind of pledge financing business is mainly because the patent right is highly professional and its value is difficult to evaluate. In addition, patent realization requires professional technology, and the value of patent also presents unstable factors. This series of factors are the reason why banks and other financial institutions are deterred, and those small and medium-sized technology enterprises can only rely on patents for financing development. Therefore, how to deal with this contradiction is very important to promote the economic development of our country. This paper studies the legal problems in patent pledge financing in China, analyzes the current theoretical research status and concept of patent pledge financing in China, and then studies the problems of patent pledge financing in China. Then analyze the foreign countries' patent pledge financing system and draw lessons from it. Finally, the author puts forward some suggestions to improve the financing of patent pledge in China. In the course of the research, the author tries to use a variety of research methods to study and analyze the system of patent pledge financing comprehensively, from which to find out the problems and sum up the experience. It is hoped that some shallow suggestions and opinions can be put forward to promote the development of patent pledge financing system, to promote the development of small and medium-sized technological enterprises, and to realize the overall development of our country's economy.
