【摘要】：當(dāng)前,高等學(xué)校腐敗案件頻發(fā),校辦企業(yè)是一個特殊敏感部門�，F(xiàn)行公司法人治理結(jié)構(gòu)中,監(jiān)事會是校辦企業(yè)反腐防腐的重要機構(gòu),由于已有法律法規(guī)關(guān)于校辦企業(yè)監(jiān)事會的地位、職級,監(jiān)事會成員身份、薪酬及專業(yè)結(jié)構(gòu),上下級公司監(jiān)事會之間關(guān)系,監(jiān)事執(zhí)業(yè)手段,過程監(jiān)督等方面,不是沒有具體規(guī)定,就是規(guī)定過于"粗線條",以至于監(jiān)事會的法定監(jiān)督職能難以實現(xiàn)。教育部是具有立法權(quán)的行政管理部門,又是具有全國教育社會生活管轄權(quán)的政府職能部門,高等學(xué)校及校辦企業(yè)要執(zhí)行和貫徹教育部的規(guī)章制度。教育部的教育行政立法相當(dāng)于全國人大和國務(wù)院,有著程序簡便,涉及社會生活簡單的靈活特點,加快關(guān)于校辦企業(yè)監(jiān)事會的教育行政立法,對于完善校辦企業(yè)監(jiān)事會制度,創(chuàng)新企業(yè)法人治理結(jié)構(gòu),強化高等學(xué)校反腐防腐工作都有著多方面的意義。
[Abstract]:At present, corruption cases occur frequently in colleges and universities, and school-run enterprises are a special sensitive department. In the current corporate governance structure, the board of supervisors is an important organization for the anti-corruption and anticorrosion of school-based enterprises. Because of the existing laws and regulations on the status, rank, membership, salary and professional structure of the supervisory board of the school-run enterprise, The relationship between supervisory boards of superior and subordinate companies, the practice means of supervisors, the process supervision and so on, are either not specified or too "rough", so that the statutory supervisory function of the supervisory board is difficult to realize. The Ministry of Education is an administrative department with legislative power, and also a government functional department with national jurisdiction over education and social life. Institutions of higher learning and school-run enterprises should carry out and implement the rules and regulations of the Ministry of Education. The educational administrative legislation of the Ministry of Education is equivalent to that of the National people's Congress and the State Council. It has a simple procedure, which involves the simple and flexible characteristics of social life. Speeding up the educational administrative legislation on the board of supervisors of school-run enterprises will improve the system of the board of supervisors of school-run enterprises. It is of great significance to innovate corporate governance structure and strengthen anti-corruption and anticorrosion work in colleges and universities.
