P2P網(wǎng)貸中集資行為的刑法規(guī)制

【摘要】:隨著互聯(lián)網(wǎng)金融中P2P網(wǎng)絡(luò)借貸模式的迅速發(fā)展,實(shí)現(xiàn)了社會(huì)閑散資金聚集,為中小微企業(yè)與創(chuàng)業(yè)人員提供了便捷的融資渠道,同時(shí)滿足了投資者多元化的投資需求。國(guó)家鼓勵(lì)互聯(lián)網(wǎng)金融發(fā)展有利于促進(jìn)市場(chǎng)經(jīng)濟(jì)模式的轉(zhuǎn)變,但迅速發(fā)展的同時(shí),缺乏法律法規(guī)有效規(guī)制和監(jiān)管,P2P網(wǎng)絡(luò)借貸集資行為極易構(gòu)成非法吸收公眾存款、非法經(jīng)營(yíng)、集資詐騙等犯罪。對(duì)于P2P網(wǎng)絡(luò)借貸集資行為一方面鼓勵(lì)發(fā)展解決企業(yè)正當(dāng)融資問(wèn)題,另一方面應(yīng)運(yùn)用刑法手段對(duì)非法集資平臺(tái)進(jìn)行規(guī)制,然如何解決,新經(jīng)濟(jì)模式理論和實(shí)務(wù)對(duì)此爭(zhēng)論難以有明確定論,有必要進(jìn)行全面梳理與厘定。鑒于此,本文展開(kāi)了 P2P網(wǎng)絡(luò)借貸中集資行為的刑法規(guī)制問(wèn)題的探討。全文分為四個(gè)部分:第一部分是P2P網(wǎng)貸概念厘定、起源與發(fā)展歷程。探索了傳統(tǒng)P2P網(wǎng)絡(luò)借貸模式與創(chuàng)新型網(wǎng)貸模式概念區(qū)別,以及中外發(fā)展演變進(jìn)程,為新時(shí)期P2P網(wǎng)絡(luò)借貸平臺(tái)集資問(wèn)題提出解決辦法。新時(shí)期P2P網(wǎng)絡(luò)借貸模式應(yīng)界定為從事網(wǎng)絡(luò)借貸信息中介服務(wù)活動(dòng)的第三方平臺(tái),借助互聯(lián)網(wǎng)技術(shù)為出借者與借貸者提供借貸金融服務(wù)的金融模式。第二部分為P2P網(wǎng)絡(luò)借貸集資行為刑法介入的必要性與可能性。P2P網(wǎng)絡(luò)借貸非法集資行為法益侵犯程度深、波及面廣,健全的法律規(guī)范體系可以為規(guī)制P2P網(wǎng)絡(luò)借貸中非法集資行為提供法律基礎(chǔ)。互聯(lián)網(wǎng)技術(shù)的發(fā)展,尤其是技術(shù)偵查手段進(jìn)步,為偵查機(jī)關(guān)利用技術(shù)偵查手段解決跨越時(shí)間與空間的網(wǎng)絡(luò)借貸平臺(tái)非法集資犯罪行為提供技術(shù)保障。第三部分是P2P網(wǎng)貸集資犯罪行為刑法規(guī)制路徑。突破信息中介角色的網(wǎng)絡(luò)借貸平臺(tái),可觸犯刑法相關(guān)罪名。本部分探索了非法吸收公眾存款、非法經(jīng)營(yíng)、集資詐騙等罪名的適用前提、犯罪成立條件,認(rèn)定犯罪時(shí)應(yīng)注意集資犯罪行為與合法借貸行為之分,以及此罪與彼罪的異同點(diǎn)。同時(shí)對(duì)于認(rèn)定網(wǎng)絡(luò)借貸非法集資行為是否構(gòu)成犯罪、構(gòu)成何種犯罪應(yīng)考慮刑法謙抑性,提高入罪門(mén)檻。第四部分是國(guó)家對(duì)于P2P網(wǎng)絡(luò)借貸行為應(yīng)加強(qiáng)監(jiān)管體制完善和健全。通過(guò)完善法律監(jiān)管、行業(yè)自律管理體制引導(dǎo)互聯(lián)網(wǎng)金融健康發(fā)展。根據(jù)市場(chǎng)經(jīng)濟(jì)發(fā)展適時(shí)修改刑事法律,通過(guò)司法解釋適度推動(dòng)P2P網(wǎng)貸非犯罪化。
[Abstract]:With the rapid development of P2P network lending model in Internet finance, social idle capital gathering has been realized, which provides convenient financing channels for small and medium-sized enterprises and entrepreneurs, and meets the diversified investment needs of investors.While the state encourages the development of Internet finance to promote the transformation of the market economic model, the lack of effective regulation and supervision of laws and regulations for the collection of funds through P2P network loans is extremely easy to constitute an illegal absorption of public deposits and illegal business operations.A crime of fund-raising, fraud, etc.On the one hand, P2P network borrowing and financing behavior encourages the development of enterprises to solve the problem of legitimate financing, on the other hand, criminal law should be used to regulate illegal financing platform, but how to solve the problem.The theory and practice of the new economic model are difficult to make a clear conclusion of this argument, so it is necessary to sort out and define it in an all-round way.In view of this, this paper discusses the criminal law regulation of P2P network borrowing.The paper is divided into four parts: the first part is the definition, origin and development of P2P network loan.This paper probes into the conceptual differences between the traditional P2P network lending model and the innovative network loan mode, and the development and evolution process of China and foreign countries, and puts forward solutions to the problem of raising funds for the P2P network loan platform in the new period.In the new era, P2P network lending mode should be defined as the third party platform engaged in network lending information intermediary service, and the financial model of providing loan financial service for lenders and borrowers with the help of Internet technology.The second part is the necessity and possibility of the criminal law intervention of P2P network borrowing and financing.A sound legal system can provide a legal basis for the regulation of illegal fund-raising in P2P network lending.The development of Internet technology, especially the progress of technical investigative techniques, provides the technical guarantee for investigating organs to use technical investigative techniques to solve the criminal behavior of illegally raising funds from the network loan platform spanning time and space.The third part is the path of criminal regulation of P2P network financing.Breaking through the role of information intermediary network lending platform, criminal law-related offences can be violated.This part explores the applicable premise of the crime of illegally absorbing public deposits, illegal management, financing fraud and so on, the conditions of establishing the crime, the distinction between the crime of raising funds and lawful borrowing, and the similarities and differences between the crime and the crime.At the same time, we should consider the modesty of criminal law and raise the threshold of incrimination in order to determine whether the illegal financing of network loan constitutes a crime and what kind of crime to constitute.The fourth part is that the state should strengthen the supervision system for P2P network lending.Improve legal supervision, industry self-discipline management system to guide the healthy development of Internet finance.According to the development of market economy, the criminal law should be amended in time, and P2P network loan should be decriminalized through judicial interpretation.
