【摘要】：為了打擊新型的利用未公開信息進(jìn)行證券、期貨交易活動的犯罪行為,刑法修正案(七)新增了利用未公開信息交易罪。對于本罪行為,理論界在諸多方面尚有較大分歧。在利用未公開信息交易行為的行為手段上,基于法條的規(guī)定及與內(nèi)幕信息的相似性,本行為中“未公開信息”是指內(nèi)幕信息之外的其他對證券發(fā)行、證券、期貨交易或者交易價格有重大影響的未公開信息,其應(yīng)當(dāng)具有重大影響性、區(qū)別于內(nèi)幕信息性、未公開性等特征；而對于“因職務(wù)便利獲取”的含義,則是既包括行為人利用工作上基于其工作而產(chǎn)生的權(quán)責(zé)上的便利,也包括利用基于其工作而產(chǎn)生的各種便利條件。在本行為的行為內(nèi)容上,“違反規(guī)定”,是指違反相關(guān)法律、行政法規(guī)、規(guī)章和全國性的、行業(yè)內(nèi)部的規(guī)章制度與業(yè)務(wù)規(guī)則；行為方式上,“本人交易活動”不僅可以包括行為人使用自己的證券、期貨賬戶進(jìn)行交易,而且也包括行為人通過自己實(shí)際控制的他人賬戶進(jìn)行交易,但不包括不作為,而示意他人進(jìn)行交易活動是指行為人在獲知未公開信息后,明確地指示或者暗示他人進(jìn)行相關(guān)證券、期貨交易活動�；谝陨闲袨樘卣�,利用未公開信息交易行為與內(nèi)幕交易行為、操縱證券、期貨市場行為在行為手段、行為內(nèi)容上都具有重大區(qū)別。
[Abstract]:In order to crack down on the new criminal behavior of using unpublished information for securities and futures trading, the Criminal Law Amendment (7) adds the crime of using unpublished information to trade.For this crime, there are still a lot of differences in the theoretical circle.On the basis of the provisions of the law and the similarity with the insider information, the term "undisclosed information" in this act refers to the issuance of securities and securities other than insider information.The undisclosed information that has a significant impact on futures trading or trading prices shall have a significant impact, as distinguished from the characteristics of insider information and non-disclosure, and the meaning of "facilitating access by virtue of position",It includes both the use of the rights and responsibilities of the actor based on his work, and the use of all kinds of facilities based on his work.In terms of the content of this act, "violation of the provisions" means violation of relevant laws, administrative regulations, rules and regulations, national rules and regulations and business rules and regulations within the industry; in the manner of conduct,"personal trading activities" may include not only the use of their own securities and futures accounts for transactions by the actor, but also the conduct of transactions by the actor through the accounts of other persons under his actual control, but excluding inaction,And the signalling other people to carry on the transaction activity is refers to the actor after obtains the unpublished information, clearly instructs or implies the other person to carry on the related securities, the futures trading activity.Based on the above behavior characteristics, there are significant differences between the behavior of unpublished information trading and insider trading, manipulation of securities and futures market in terms of behavior means and content.
