【摘要】：在當(dāng)代世界各國經(jīng)濟(jì)交往中，代理已成為最普遍的法律形式之一。無論是在國內(nèi)還是在國際經(jīng)濟(jì)貿(mào)易活動中，代理制度都得到了廣泛的應(yīng)用；無論是英美法系國家還是大陸法系國家，都將其作為一項(xiàng)重要的法律制度規(guī)定在民商法中。外貿(mào)代理作為代理的一種形式，其適用和調(diào)整也應(yīng)遵循一般代理制度的要求。 本文從三個方面展開分析與論述。第一部分從代理制度的基礎(chǔ)理論出發(fā)，深入探討了三個大問題：代理制度的產(chǎn)生、發(fā)展和意義；代理及代理權(quán)；代理人和被代理人的權(quán)利與義務(wù)。 第二部分根據(jù)當(dāng)代主要國家代理法發(fā)展的現(xiàn)狀，采用比較分析的方法，，對國際上兩大法系即英美法系和大陸法系國家代理制度的理論基礎(chǔ)、代理的類型、代理關(guān)系的產(chǎn)生和終止的原因及代理行為的法律效果進(jìn)行了較為全面與細(xì)致的研究。 第三部分結(jié)合新修訂的《中華人民共和國對外貿(mào)易法》已正式實(shí)施這一背景就我國外貿(mào)代理制今后應(yīng)如何發(fā)展進(jìn)行了闡述。首先分析了我國外貿(mào)代理制的現(xiàn)狀及存在問題，其次指出了我國外貿(mào)代理制今后的發(fā)展方向，認(rèn)為單獨(dú)或?qū)ｉT規(guī)制外貿(mào)代理的制度不應(yīng)繼續(xù)存在，內(nèi)外貿(mào)代理制度相統(tǒng)一是大勢所趨。在這一觀點(diǎn)基礎(chǔ)上，又提出了一些具體看法。
[Abstract]:Agency has become one of the most common forms of law in the economic exchanges of various countries in the contemporary world. In both domestic and international economic and trade activities, agency system has been widely used; both Anglo-American law countries and civil law countries, as an important legal system in civil and commercial law. Foreign trade agency as a form of agency, its application and adjustment should also follow the requirements of the general agency system. This paper analyzes and discusses from three aspects. The first part discusses three major problems from the basic theory of agency system: the emergence, development and significance of agency system; agency and agency right; the rights and obligations of agent and principal. The second part, according to the current situation of the development of the main national agency law, adopts the method of comparative analysis to analyze the theoretical foundation and the type of the agency system of the two major legal systems in the world, that is, the common law system and the continental law system. The causes of the emergence and termination of agency relationship and the legal effect of agency behavior are studied comprehensively and carefully. The third part expounds how to develop the foreign trade agency system in China in the light of the background that the newly revised Foreign Trade Law of the people's Republic of China has been formally implemented. This paper first analyzes the present situation and existing problems of foreign trade agency system in China, then points out the future development direction of foreign trade agency system in China, and holds that the system of regulating foreign trade agency system alone or exclusively should not continue to exist. The unification of domestic and foreign trade agency system is the trend of the times. On the basis of this viewpoint, some concrete views are put forward.
