【摘要】：隨著知識(shí)經(jīng)濟(jì)時(shí)代的到來(lái)和國(guó)際市場(chǎng)競(jìng)爭(zhēng)的加劇，我國(guó)日益注重對(duì)商業(yè)秘密的保護(hù)。因此，建立健全商業(yè)秘密保護(hù)的法律制度顯得尤為重要。本文以民商法、經(jīng)濟(jì)法的基本理論為依據(jù)，運(yùn)用一般和個(gè)別的辯證思維方法，對(duì)中日兩國(guó)商業(yè)秘密的法律保護(hù)進(jìn)行了較為系統(tǒng)和深入的研究，在分析兩者之間的共性與個(gè)性的基礎(chǔ)上，論述了日本商業(yè)秘密保護(hù)法律制度的先進(jìn)之處和我國(guó)的不足之處，提出了完善我國(guó)商業(yè)秘密保護(hù)的法律制度的若干建議。 全文共分五章： 第一章：商業(yè)秘密法律保護(hù)的緣起及其理論基礎(chǔ)。介紹商業(yè)秘密法律保護(hù)的興起和發(fā)展，評(píng)述了四種商業(yè)秘密法律保護(hù)理論，簡(jiǎn)要敘述比較研究中日商業(yè)秘密保護(hù)法律制度的理由。 第二章：中日商業(yè)秘密法律保護(hù)的歷史演進(jìn)及比較分析。分別介紹中日兩國(guó)商業(yè)秘密保護(hù)的發(fā)展過(guò)程，并進(jìn)行簡(jiǎn)要的評(píng)價(jià)；著重介紹中日商業(yè)秘密保護(hù)各項(xiàng)法律制度，并進(jìn)行總體的同異比較和分析，藉此指出我國(guó)法律存在的不足。 第三章：中日關(guān)于商業(yè)秘密基本法律問(wèn)題的分析與比較。主要是分別介紹了中日兩國(guó)關(guān)于商業(yè)秘密概念、商業(yè)秘密構(gòu)成要件、商業(yè)秘密法所保護(hù)的秘密信息的范圍以及商業(yè)秘密性質(zhì)的法律規(guī)定及學(xué)界觀點(diǎn)，并就相關(guān)內(nèi)容進(jìn)行了比較分析，，說(shuō)明了我國(guó)現(xiàn)行法律規(guī)定的缺陷。 第四章：中日商業(yè)秘密侵權(quán)行為的認(rèn)定及救濟(jì)制度的分析比較。首先介紹兩國(guó)對(duì)商業(yè)秘密侵權(quán)行為的界定，并在比較的基礎(chǔ)上說(shuō)明我國(guó)法律的缺陷，繼而提出我國(guó)法律應(yīng)該規(guī)定的商業(yè)秘密侵權(quán)行為的類型；其次，從實(shí)體法和程序法角度對(duì)兩國(guó)侵犯商業(yè)秘密行為的救濟(jì)制度進(jìn)行介紹、比較和分析，并論述我國(guó)相關(guān)法律規(guī)定尚待完善之處。 第五章：完善我國(guó)商業(yè)秘密保護(hù)的法律制度的若干思考�；谇笆錾虡I(yè)秘密法之發(fā)展趨勢(shì)和我國(guó)相關(guān)法律之不足，論述完善我國(guó)商業(yè)秘密法律制度的必要性、原則，提出完善、健全相關(guān)法律制度和制定《商業(yè)秘密保護(hù)法》的立法建議和構(gòu)想。
[Abstract]:With the coming of knowledge economy era and the intensification of international market competition, China pays more and more attention to the protection of trade secrets. Therefore, it is particularly important to establish and improve the legal system for the protection of trade secrets. On the basis of analyzing the commonness and individuality between them, this paper discusses the advantages and disadvantages of Japan's legal system of trade secret protection, and puts forward some suggestions for perfecting China's legal system of trade secret protection.
The full text is divided into five chapters.
Chapter 1: The origin and theoretical basis of the legal protection of trade secrets. It introduces the rise and development of the legal protection of trade secrets, comments on four theories of legal protection of trade secrets, and briefly describes the reasons for the comparative study of the legal system of trade secrets between China and Japan.
Chapter 2: The historical evolution and comparative analysis of the legal protection of trade secrets between China and Japan. It introduces the development process of the protection of trade secrets between China and Japan, and makes a brief evaluation.
Chapter 3: Analysis and comparison of the basic legal issues of trade secrets between China and Japan. It mainly introduces the concepts of trade secrets, the constitutive requirements of trade secrets, the scope of secret information protected by the trade secrets law, the legal provisions of the nature of trade secrets and the views of the academic circles in China and Japan, and compares the relevant contents. Analysis shows the defects of our current legal provisions.
Chapter Four: Analysis and Comparison of the Recognition and Remedy System of Trade Secret Infringement between China and Japan. First of all, it introduces the definition of trade secret infringement between the two countries, and explains the defects of our law on the basis of comparison, and then puts forward the types of trade secret infringement that should be stipulated in our law; secondly, from the angle of substantive law and procedural law. This paper introduces, compares and analyzes the relief systems for infringement of trade secrets between the two countries, and discusses the imperfections of relevant laws and regulations in China.
Chapter Five: Some thoughts on perfecting the legal system of trade secrets protection in China. Based on the development trend of the aforementioned trade secrets law and the shortcomings of the relevant laws in China, this paper discusses the necessity and principles of perfecting the legal system of trade secrets in China, and puts forward some suggestions and constructions for perfecting and perfecting the relevant legal system and formulating the law of trade secrets protection.
