【摘要】： 本文首先從商業(yè)秘密的基本理論入手,分析了商業(yè)秘密的法律概念、特征性質(zhì)、保護(hù)范圍、商業(yè)秘密權(quán)的性質(zhì)、并對(duì)商業(yè)秘密法律保護(hù)的法理基礎(chǔ)進(jìn)行了分析。鑒于國(guó)際上對(duì)商業(yè)秘密的法律界定不統(tǒng)一,而商業(yè)秘密范圍在實(shí)踐和立法上又呈日益擴(kuò)大的趨勢(shì),商業(yè)秘密的構(gòu)成要件應(yīng)從秘密性、價(jià)值性、實(shí)用性和保密性四個(gè)方面進(jìn)行把握。文章接著討論了我國(guó)企業(yè)商業(yè)秘密法律保護(hù)的現(xiàn)狀,并且從民商法、經(jīng)濟(jì)法、刑法、勞動(dòng)法四個(gè)角度對(duì)我國(guó)對(duì)于商業(yè)秘密法律保護(hù)的相關(guān)法律法規(guī)進(jìn)行了評(píng)析,同時(shí)分析了加入商業(yè)秘密保護(hù)國(guó)際公約對(duì)于我國(guó)企業(yè)商業(yè)秘密法律保護(hù)的重要意義。在此基礎(chǔ)上對(duì)我國(guó)現(xiàn)行保護(hù)商業(yè)秘密的法律及其存在的問(wèn)題進(jìn)行了剖析,然后在考察國(guó)際組織和主要發(fā)達(dá)國(guó)家對(duì)商業(yè)秘密保護(hù)方面成熟的立法和實(shí)踐經(jīng)驗(yàn)的基礎(chǔ)上,針對(duì)現(xiàn)行立法存在的尚無(wú)專門的商業(yè)秘密保護(hù)法、立法不夠周延、體例比較分散、內(nèi)容過(guò)于籠統(tǒng)、侵犯商業(yè)秘密的民事責(zé)任主體過(guò)于狹隘、過(guò)分強(qiáng)調(diào)了損害的補(bǔ)償性質(zhì),而沒(méi)有考慮到懲罰性賠償?shù)闹匾�、無(wú)力應(yīng)對(duì)網(wǎng)絡(luò)環(huán)境出現(xiàn)的問(wèn)題等缺陷,最后本文從立法和司法等四個(gè)方面提出了完善企業(yè)商業(yè)秘密法律保護(hù)的建議,也就是制定專門的《商業(yè)秘密法》,確保商業(yè)秘密法律保護(hù)體系的完整性,加強(qiáng)網(wǎng)絡(luò)傳輸中的商業(yè)秘密保護(hù)立法、構(gòu)建有效的司法保護(hù)制度等。
[Abstract]:This paper begins with the basic theory of trade secret, analyzes the legal concept, characteristic nature, scope of protection and nature of trade secret right of trade secret, and analyzes the legal basis of legal protection of trade secret. In view of the fact that the international legal definition of trade secret is not uniform, and the scope of trade secret is increasing in practice and legislation, the composing elements of trade secret should be classified from secrecy and value. Practical and confidential four aspects to grasp. The article then discusses the current situation of the legal protection of business secrets in our country, and analyzes the relevant laws and regulations on the legal protection of trade secrets from the four angles of civil and commercial law, economic law, criminal law and labor law. At the same time, it analyzes the significance of joining the international convention on the protection of trade secrets to the legal protection of business secrets in our country. On this basis, the author analyzes the current law of protecting trade secrets and its existing problems in China, and then on the basis of investigating the mature legislation and practical experience of international organizations and major developed countries on the protection of trade secrets. In view of the fact that there is no special trade secret protection law in current legislation, the legislation is not comprehensive enough, the style is rather scattered, the content is too general, the subject of civil liability for infringing trade secrets is too narrow, and the nature of compensation for damages is overemphasized. Not taking into account the importance of punitive damages, unable to cope with the network environment problems and other defects, finally this article from the legislative and judicial aspects of the four aspects of improving the legal protection of business secrets, That is to make a special Trade Secret Law to ensure the integrity of the legal protection system of trade secrets strengthen the legislation of trade secret protection in the network transmission and build an effective judicial protection system.
