【摘要】: 我國公司法定代表人制度是一項(xiàng)具有中國特色的法人代表權(quán)制度,與中國其他法律制度一樣,其產(chǎn)生、形成和發(fā)展不僅包含了邏輯和理性的因素,而且更多地受到了歷史和現(xiàn)實(shí)諸多因素的影響。我國公司法定代表人制度從設(shè)立之初到現(xiàn)在,雖然已經(jīng)歷多次改革,但是在現(xiàn)行的立法規(guī)定上仍然存在著很多不足,主要體現(xiàn)在公司法定代表人制度實(shí)體規(guī)定不足和程序規(guī)定不足兩個(gè)方面。立法上的不完善導(dǎo)致的后果是,代表人制度在實(shí)際運(yùn)作中存在諸多弊端:法定代表人的專權(quán);違背私法自治原則;不利于交易相對方以及公司本身利益的保護(hù);代表權(quán)濫用現(xiàn)象層出不盡窮等等。 筆者認(rèn)為公司法定代表人制度存在不足的原因主要是理論準(zhǔn)備不充分。在法律地位與作用上,將代表人與董事長、執(zhí)行董事、經(jīng)理以及代理人等同和混淆;對代表人的主體地位缺乏充分認(rèn)識,將其僅僅定位于民商事法律關(guān)系主體、行政法律關(guān)系或刑事法律關(guān)系主體,而忽視代表人的經(jīng)濟(jì)法主體地位;對代表人的人性特點(diǎn)缺乏關(guān)注,忽視代表人的權(quán)益;對代表權(quán)的私權(quán)屬性也認(rèn)識不夠。 世界其他國家關(guān)于公司代表制度之立法模式及相應(yīng)的具體法律規(guī)定,對于確定如何完善我國公司法定代表人制度,具有重要的借鑒意義。西方國家對于代表權(quán)的設(shè)置一般采取共同代表制、單一代表制以及約定代表制三種模式,筆者認(rèn)為我國的公司法定代表人制度可主要借鑒大陸法系的代表權(quán)制度模式,將代表權(quán)賦予董事會和董事,取消經(jīng)理的代表權(quán),同時(shí)由公司章程、股東大會或董事會決議來決定代表權(quán)行使的具體方式。同時(shí)在確定制度模式的基礎(chǔ)之上完善公司法定代表人制度的基本內(nèi)容:完善代表人產(chǎn)生的條件和程序規(guī)定;完善代表人的權(quán)利、義務(wù)以及責(zé)任的相關(guān)規(guī)定,并在監(jiān)督程序上加強(qiáng)對代表人行為的制約。 總而言之,完善我國現(xiàn)行的公司法定代表人制度不僅有利于現(xiàn)代化公司治理理念的創(chuàng)新與發(fā)展,同時(shí)也有利于維護(hù)交易的安全與效率,具有重大的理論意義和現(xiàn)實(shí)意義。
[Abstract]:The legal representative system of our company is a legal person representation system with Chinese characteristics. Like other legal systems in China, its emergence, formation and development not only contain logical and rational factors. And more by the history and reality of many factors. Since the establishment of the legal representative system of companies in China, although it has undergone many reforms, there are still many deficiencies in the current legislative provisions. Mainly embodies in the company legal representative system entity stipulation insufficiency and the procedure stipulation insufficiency two aspects. The result of the imperfect legislation is that the representative system has many disadvantages in the actual operation: the exclusive power of the legal representative, the violation of the principle of autonomy of private law, the unfavorable protection of the relative party of the transaction and the interests of the company itself; The phenomenon of abuse of representation is endless and so on. The author believes that the main reason for the deficiency of the legal representative system is that the theory is not fully prepared. In the legal status and function, the representative and the chairman, the executive director, the manager and the agent are equated and confused, and the representative lacks a full understanding of the principal position of the representative, which is only defined as the subject of civil and commercial legal relations. Administrative legal relationship or criminal legal relationship subject, but ignore the representative's economic law subject status; lack of attention to the human nature of the representative, ignore the representative's rights and interests, and lack of understanding of the private rights attribute of representation. Other countries in the world about the legislative model of the company representative system and the corresponding specific legal provisions, for the determination of how to improve the legal representative system of our company, has an important reference significance. The western countries generally adopt the common representation system, the single representative system and the agreed representation system for the establishment of the representation system. The author thinks that the corporate legal representative system of our country can mainly draw lessons from the representation system model of the civil law system. Assign representation to the board of directors and directors, cancel the representation of the manager, and determine the specific manner of exercising the representation by the articles of association, shareholders' general meeting, or the resolution of the board of directors. At the same time, on the basis of determining the system model, the basic contents of the legal representative system of the company should be improved: the conditions and procedural provisions of the representative generation, the rights, obligations and responsibilities of the representative should be improved, and the relevant provisions on the rights, obligations and responsibilities of the representative should be improved. And in the supervision procedure to strengthen the representative behavior restriction. In a word, perfecting the current legal representative system is not only conducive to the innovation and development of the modern corporate governance concept, but also conducive to maintaining the security and efficiency of the transaction, which is of great theoretical and practical significance.
