公司法中強制性規(guī)范研究

【摘要】:公司是現(xiàn)代社會最主要的經(jīng)濟組織形式,以之為規(guī)制對象的公司法也日漸凸現(xiàn)其重要性,但理論和實務(wù)界對公司法的性質(zhì)即公司法屬于強行法還是任意法的認(rèn)識卻不盡統(tǒng)一,由此導(dǎo)致各國公司法中體現(xiàn)公司參與人自治的任意性規(guī)范與體現(xiàn)國家干預(yù)的強制性規(guī)范的比例及兩者的地位也迥異,如何調(diào)整、配置、適用公司法中的各種規(guī)范成為公司立法、執(zhí)法、司法等活動中的關(guān)鍵,甚至成為提高一個國家經(jīng)濟競爭能力、促進(jìn)經(jīng)濟發(fā)展的決定性因素,基于此,本文選取其中的一部分—公司法強制性規(guī)范作為研究對象,旨在為我國公司法的發(fā)展、完善提供基礎(chǔ)性的研究資料,提出些許有價值的建議和意見。 對公司法強制性規(guī)范的研究,勢必涉及到方方面面的問題,因此,本文運用經(jīng)濟分析、歷史分析、系統(tǒng)分析、比較分析、實證分析等多種方法,從法律規(guī)范這二法學(xué)中最基礎(chǔ)的入手,從解決實踐中的具體問題出發(fā),運用國家干預(yù)理論和現(xiàn)代經(jīng)濟學(xué)中的企業(yè)契約理論,針對我國現(xiàn)行《公司法》中強制性規(guī)范配置中存在的不足和司法實務(wù)中的困惑,提出相應(yīng)的完善方式、補救措施和應(yīng)對之策。 公司法作為民商法的一個部門,屬于私法范疇,而其卻包含大量的屬于公法性質(zhì)的強制性規(guī)范。本文首先對公司法強制性規(guī)范進(jìn)行研究的前提性概述和基礎(chǔ)性說明,并且欲論證強制性規(guī)范存在的正當(dāng)性。其次闡述了公司法強制性規(guī)范存在的狀態(tài),旨在論證公司法強制性規(guī)范在公司法中存在的范圍及其態(tài)勢。最后針對我國公司法中國家強制存在的問題提出了相關(guān)的建議和思路;合理確定公司法中強制性規(guī)范和任意性規(guī)范的結(jié)構(gòu);明晰公司法中國家強制的界限;處理好法律的明確性與政府自由裁量權(quán)之間的關(guān)系;對國家強制進(jìn)行必要的合理的限制等。 本文并沒有一個確定的中心,只是圍繞“公司法強制性規(guī)范”這一主線,首先論述了其存在的價值,其次對其存在狀態(tài)進(jìn)行考察,最終落腳在公司法立法與司法上,針對公司法的不足和司法實踐中的問題提出解決之道,解決現(xiàn)實矛盾、突破現(xiàn)實困境。
[Abstract]:Company is the most important form of economic organization in modern society, and the company law, which is the object of regulation, is becoming more and more important. However, the understanding of the nature of company law in theory and practice, that is, whether the company law belongs to compulsory law or arbitrary law, is not uniform. As a result, the proportion and status of the arbitrary norms reflecting the autonomy of company participants and the mandatory norms embodying state intervention in the company law of various countries are also very different. How to adjust, configure and apply all kinds of norms in the company law becomes the company legislation. The key of law enforcement and judicial activities even becomes the decisive factor to improve a country's economic competitiveness and promote economic development. Based on this, this paper selects a part of the compulsory norms of company law as the object of study. The purpose is to provide basic research materials for the development and perfection of our company law, and to put forward some valuable suggestions and suggestions. The study of mandatory norms of company law is bound to involve various problems. Therefore, this paper uses many methods, such as economic analysis, historical analysis, systematic analysis, comparative analysis, empirical analysis, etc. Starting from the most basic of the two jurisprudence, starting from solving the specific problems in practice, the author applies the theory of state intervention and the theory of enterprise contract in modern economics. In view of the deficiency in the compulsory norm allocation and the confusion in the judicial practice in the present Company Law of our country, this paper puts forward the corresponding perfect ways, remedial measures and countermeasures. Corporate law, as a department of civil and commercial law, belongs to the category of private law, but it contains a large number of mandatory norms of public law. And to demonstrate the legitimacy of the existence of mandatory norms. Secondly, the existence of mandatory norms of corporate law state, The purpose of this paper is to demonstrate the scope and situation of mandatory norms of company law in company law. Finally, some suggestions and ideas are put forward in view of the problems existing in China's company law. Reasonably determine the structure of mandatory and arbitrary norms in company law; clarify the boundaries of state coercion in company law; deal with the relationship between legal clarity and government discretion; and impose necessary and reasonable restrictions on the state. This article does not have a definite center, only revolves around "the company law compulsory norm" this one main line, first elaborated its existence value, then carried on the inspection to its existence condition, finally settled in the company law legislation and the judicature. Aiming at the deficiency of the company law and the problems in the judicial practice, the author puts forward some solutions to solve the realistic contradiction and break through the realistic predicament.
