【摘要】：如今,隨著全球經(jīng)濟(jì)一體化進(jìn)程的加快,出現(xiàn)了許多新的經(jīng)濟(jì)現(xiàn)象。這些新的經(jīng)濟(jì)現(xiàn)象的誕生和發(fā)展為國際法的發(fā)展與完善帶來了新的動力,同時(shí)也因?yàn)榉傻牟煌晟贫鴮?dǎo)致了許多風(fēng)險(xiǎn)的誕生。融資租賃法律關(guān)系是一種創(chuàng)新的法律關(guān)系,它突破了傳統(tǒng)民商法關(guān)于所有權(quán)、擔(dān)保、租賃等法律關(guān)系的概念,創(chuàng)設(shè)出一種全新的法律關(guān)系概念---信用所有權(quán)關(guān)系,正是由于這種特殊的所有權(quán)關(guān)系導(dǎo)致了融資租賃交易中的很多風(fēng)險(xiǎn)。國際融資租賃作為一種具有涉外因素的法律關(guān)系,內(nèi)容更為復(fù)雜,在現(xiàn)有立法還不夠完善的情況下,國際融資租賃交易的當(dāng)事人往往面臨著巨大的風(fēng)險(xiǎn),因此無論從立法還是實(shí)際操作的角度,都應(yīng)該對國際融資租賃交易的風(fēng)險(xiǎn)進(jìn)行控制,這是探討國際融資租賃法律問題的一項(xiàng)重要內(nèi)容。本文第一章主要介紹了國際融資租賃的含義和特點(diǎn),并著重分析了國際融資租賃風(fēng)險(xiǎn)產(chǎn)生的根源問題---信用所有權(quán)這種特殊的所有權(quán)形式,然后介紹了中國目前融資租賃發(fā)展的形勢和存在的問題,并提出了國際融資租賃交易風(fēng)險(xiǎn)法律規(guī)制的必要性和重要性。本文結(jié)合了西方發(fā)達(dá)國家和國際公約所采取的措施,主要從保護(hù)出租人的角度出發(fā),在第二大部分中詳細(xì)論述了國際融資租賃交易中存在的風(fēng)險(xiǎn),包括租賃物所有權(quán)、租賃物回收權(quán)、租賃破產(chǎn)風(fēng)險(xiǎn)、國際融資租賃中的稅收風(fēng)險(xiǎn)和其他等風(fēng)險(xiǎn),并提出了法律規(guī)制的措施。本文的第三大點(diǎn)主要介紹了我國目前的相關(guān)立法和正在醞釀起草的《中華人民共和國融資租賃法》對上述幾項(xiàng)風(fēng)險(xiǎn)所采取的法律規(guī)制措施,并針對其不足之處提出了自己的立法建議。
[Abstract]:Today, with the acceleration of the process of global economic integration, many new economic phenomena have emerged. The birth and development of these new economic phenomena have given new impetus to the development and improvement of international law, At the same time, because of the imperfection of the law, it leads to the birth of many risks. The legal relationship of financial lease is a kind of innovative legal relationship, which breaks through the traditional concepts of the legal relationship of ownership, guarantee, lease and so on. The creation of a new concept of legal relationship-credit ownership relationship is precisely due to this special ownership relationship has led to a lot of risks in financial leasing transactions. International financial leasing as a legal relationship with foreign factors, The content is more complex, in the existing legislation is not perfect, the parties to international financial leasing transactions are often faced with huge risks, so whether from the legislative or practical point of view, Both should control the risks of international financial leasing transactions, which is an important content of discussing the legal issues of international financial leasing. The first chapter of this paper mainly introduces the meaning and characteristics of international financial leasing. This paper mainly analyzes the root problem of the risk of international financial leasing-credit ownership, which is a special form of ownership, and then introduces the current situation and existing problems of the development of financial leasing in China. It also puts forward the necessity and importance of the legal regulation of the risks of international financial leasing transactions. This paper combines the measures taken by western developed countries and international conventions, mainly from the point of view of protecting lessors. In the second part, the risks in the international financial leasing transaction are discussed in detail, including the ownership of the lease item, the right to recycle the lease item, the risk of lease bankruptcy, the tax risk in the international financial lease and other risks. The third major point of this paper mainly introduces the relevant legislation of our country and the legal regulation measures of the above-mentioned risks, which are in the process of drafting the PRC Financial Leasing Law. And put forward their own legislative suggestions in view of its shortcomings.
