【摘要】：董事競業(yè)禁止義務(wù)是董事義務(wù)的一項(xiàng)重要內(nèi)容,無論是英美法系還是大陸法系國家均在其立法中對該義務(wù)都有明確規(guī)定。我國公司法雖然也有相關(guān)制度的規(guī)定,但過于籠統(tǒng)和原則性,缺乏可操作性,有一些方面待于完善。本文針對公司董事競業(yè)禁止義務(wù)的含義及其法律特征作了較為詳細(xì)的界定,通過對國內(nèi)外相關(guān)法律原則和制度進(jìn)行較全面的考察,對董事競業(yè)禁止義務(wù)的應(yīng)有內(nèi)涵及外延進(jìn)行研究,進(jìn)而總結(jié)出我國現(xiàn)有董事競業(yè)禁止義務(wù)制度的不足,并在借鑒國外先進(jìn)經(jīng)驗(yàn)的基礎(chǔ)上,提出在公司法律制度中完善我國董事競業(yè)禁止制度的設(shè)想。
[Abstract]:The prohibition of directors' non-competition is an important part of directors' obligations. Both Anglo-American and continental law countries have clear provisions on this obligation in their legislation. However, it is too general and principled, lack of maneuverability, and some aspects need to be perfected. This paper defines in detail the meaning and legal characteristics of the non-compete obligation of company directors. Through a comprehensive investigation of the relevant legal principles and systems at home and abroad, this paper studies the proper connotation and extension of directors' non-competition obligation, and then summarizes the deficiencies of the existing system of directors' non-competition obligation. On the basis of drawing lessons from foreign advanced experience, this paper puts forward the idea of perfecting the prohibition system of directors' non-competition in the company legal system.
