【摘要】：民商兩法的關(guān)系處置問題,是民法典編纂過程中繞不過去的疑題。從歷史、立法、司法及比較法等層面考察可知,制定《民法總則》應(yīng)充分體現(xiàn)對商事關(guān)系的包容性,以實現(xiàn)商事關(guān)系集約化調(diào)整之目標(biāo)�！睹穹ǹ倓t》包容商事關(guān)系存在獨立成編、獨立成章、獨立成條和完全融合四種備選模式。從編纂時機與法律成本上考量,獨立成章是《民法總則》包容商事關(guān)系最現(xiàn)實、可行(非最優(yōu))的模式選擇。該模式下,《民法總則》包容商事關(guān)系應(yīng)符合"簡、通、補、適"四性要求。未來《民法總則》調(diào)整商事關(guān)系一章,應(yīng)包括一般規(guī)定、商主體、商行為、商事代理、商事登記、商業(yè)賬簿、商號七方面內(nèi)容。
[Abstract]:The problem of dealing with the relationship between civil and commercial law is a doubt in the codification of civil code. From the perspective of historical, legislative, judicial and comparative law, we can see that the formulation of the General provisions of Civil Law should fully reflect the inclusiveness of commercial relations. In order to realize the goal of intensive adjustment of commercial relations, there are four alternative models for the inclusion of commercial relations in the General provisions of Civil Law: independent compilation, independent constitution, independent regulation and complete integration. From the point of view of the timing and legal cost of compilation, independent chapter is the most realistic and feasible (non-optimal) mode choice for the general provisions of civil law to accommodate commercial relations. Under this mode, the general principles of civil law should conform to the four requirements of "simplicity, communication, supplement and adaptation". The chapter of adjusting commercial relations in the future General provisions of Civil Law should include seven aspects: general provisions, commercial subject, commercial behavior, commercial agency, commercial registration, commercial account book and firm name.
