【摘要】：《民法總則》重構(gòu)民事法律行為概念,確立意思表示一般規(guī)則,具有回填基礎(chǔ)規(guī)范的意義。法律行為成立要件規(guī)范,彰顯意思表示和法律行為的區(qū)分,解釋適用法律行為效力規(guī)范時(shí),應(yīng)注意其邏輯上的限定,區(qū)別法律行為當(dāng)事人為二人的情形和三人以上的情形。法律行為成立時(shí)生效,成立即推定為有效。采用數(shù)據(jù)電文形式的有相對(duì)人意思表示的生效,在未指定接收系統(tǒng)的情形,本法改變了舊法的規(guī)定,更為合理。以公告方式作出意思表示的,應(yīng)僅限于法律規(guī)定或當(dāng)事人約定可用公告的情形,以防濫用。認(rèn)定沉默視為意思表示,限于嚴(yán)格的例外情形,以免損害意思自治。
[Abstract]:The general principles of civil law reconstruct the concept of civil legal act and establish the general rules of expression of meaning, which have the meaning of backfilling the basic norms. We should pay attention to the logical limitation of the legal act, distinguish the parties to the legal act from the situation where the parties to the legal act are two persons and the circumstances in which the parties to the legal act are two persons and the circumstances in which the parties to the legal act are two persons and the circumstances in which the legal act is more than three persons. When a legal act is established, it is presumed to be valid. In the absence of a designated receiving system, this law changes the provisions of the old law and is more reasonable for the entry into force of the expression of the will of the relative party in the form of a data message. If the intention is expressed by public notice, it shall be limited to the circumstances stipulated by law or agreed by the parties, so as to prevent abuse. The recognition of silence as an expression of will is limited to strict exceptions to avoid prejudice to the autonomy of the will.
