土地經(jīng)營權(quán)入股的合伙模式研究

【摘要】:研究目的:明確土地經(jīng)營權(quán)入股合伙模式的類型并提出規(guī)制建議。研究方法:采用文獻分析法和案例分析法。研究結(jié)果:(1)正確處理合伙模式與其他土地經(jīng)營權(quán)流轉(zhuǎn)制度的關(guān)系,注意區(qū)分合伙模式與土地經(jīng)營權(quán)出租,以及合伙模式在一定程度上可以替代有限責(zé)任公司模式。(2)明確確保入股的土地經(jīng)營權(quán)權(quán)利沒有瑕疵是土地經(jīng)營權(quán)人的法定義務(wù),從而保障合伙能夠正常從事農(nóng)業(yè)經(jīng)營。(3)確定土地經(jīng)營權(quán)入股合伙模式的法律性質(zhì)是物權(quán)流轉(zhuǎn),合伙財產(chǎn)屬于合伙人共同共有,以便合伙人可以通過土地經(jīng)營權(quán)抵押貸款,解決資金困難。研究結(jié)論:土地經(jīng)營權(quán)入股的合伙模式是土地經(jīng)營權(quán)入股的重要模式,不能為股份合作社模式、農(nóng)民專業(yè)合作社模式、有限責(zé)任公司模式所替代。
[Abstract]:The purpose of this paper is to clarify the types of partnership mode of land management right and put forward suggestions for regulation. Methods: literature analysis and case analysis were used. The results are as follows: (1) to correctly deal with the relationship between partnership mode and other land management right transfer systems, and pay attention to distinguish partnership mode from land management right lease, The partnership model can replace the limited liability company model to a certain extent. (2) it is the legal obligation of the land owner to make sure that the land management right is not defective. So as to ensure that the partnership can normally engage in agricultural management. (3) to determine the legal nature of the partnership mode of land management right to equity is the circulation of real rights, and the partnership property belongs to the joint ownership of the partners, so that the partners can mortgage loans through the land management right. Solve the financial difficulties. Research conclusion: the partnership mode of land management right is an important mode of land management right, which can not be replaced by stock cooperative mode, farmer professional cooperative mode and limited liability company model.
