論我國動產(chǎn)抵押物轉(zhuǎn)讓制度之完善

【摘要】:動產(chǎn)抵押制度是現(xiàn)代社會解決融資擔(dān)保問題的有效方式,該制度的發(fā)展對現(xiàn)代社會企業(yè)融資意義重大。但由于動產(chǎn)抵押制度存在固有的內(nèi)在詬病,致使動產(chǎn)抵押物轉(zhuǎn)讓過程中抵押權(quán)人、抵押人及受讓人的利益糾紛難以通過有效的方式化解,矛盾沖突總是伴隨著動產(chǎn)抵押物的轉(zhuǎn)讓而發(fā)生。所以,如何通過更好的制度設(shè)計克服動產(chǎn)抵押制度的內(nèi)在缺陷,發(fā)揮動產(chǎn)抵押制度對當(dāng)今社會的重要作用,是立法中面臨的一個難題。我國《擔(dān)保法》與《物權(quán)法》中都確立了動產(chǎn)抵押制度,但是立法規(guī)定沒能很好的協(xié)調(diào)解決動產(chǎn)抵押物轉(zhuǎn)讓時面臨的利益沖突。本文通過分析動產(chǎn)抵押制度的內(nèi)在缺陷及動產(chǎn)抵押物轉(zhuǎn)讓幾種規(guī)范模式的不足,以期探尋到更好的方法彌補動產(chǎn)抵押制度的缺陷,為我國動產(chǎn)抵押物轉(zhuǎn)讓中的利益沖突尋找到更加妥當(dāng)?shù)慕鉀Q模式。本文除了引言與結(jié)論部分外,主要通過以下幾個方面進行闡述。 第一部分對動產(chǎn)抵押問題進行論述。本部分首先就動產(chǎn)抵押概念進行研究,進而闡釋動產(chǎn)抵押制度的必要性,最后比較闡釋兩大法系關(guān)于動產(chǎn)抵押制度的發(fā)展?fàn)顩r,以期通過分析不同法系地區(qū)對該制度的不同規(guī)定,明確動產(chǎn)抵押制度在世界范圍內(nèi)的發(fā)展概況。 第二部分通過介紹動產(chǎn)抵押制度發(fā)展面臨的困境與必要性分析,明確動產(chǎn)抵押制度對社會融資擔(dān)保的重要意義。同時通過介紹動產(chǎn)抵押物轉(zhuǎn)讓過程中抵押人、抵押權(quán)人及受讓人的利益體現(xiàn),探究出動產(chǎn)抵押物轉(zhuǎn)讓沖突的根源所在,即動產(chǎn)抵押物之上占有與登記造成的二元公示矛盾。 第三部分首先對我國動產(chǎn)抵押制度的立法演進進行分析,然后通過比較我國當(dāng)前立法中幾種解決動產(chǎn)抵押物轉(zhuǎn)讓的沖突模式,就限制處分模式、追及主義模式及替代清償模式缺陷進行評析,力求分析立法中的不足,以期為下一步有針對性的提出解決對策做好鋪墊。 第四部分就我國目前動產(chǎn)抵押物轉(zhuǎn)讓過程中存在的問題提出具體的制度設(shè)計,包括采用登記與輔助登記公示并用的二重模式、先代位后追及的雙重模式及相應(yīng)的司法解釋補救措施。
[Abstract]:The system of chattel mortgage is an effective way to solve the problem of financing guarantee in modern society, and the development of this system is of great significance to the financing of enterprises in modern society. However, due to the inherent criticism of chattel mortgage system, it is difficult to resolve the interests disputes between mortgagee, mortgagor and transferee in the process of chattel mortgage transfer. Contradictions and conflicts are always accompanied by the transfer of chattel collateral. Therefore, how to overcome the inherent defects of chattel mortgage system through better system design and play an important role of chattel mortgage system in today's society is a difficult problem in legislation. The system of chattel mortgage has been established in the guarantee Law of our country and the Real right Law, but the legislation has not been able to solve the conflict of interest when the chattel mortgage is transferred in a very good way. By analyzing the immanent defects of the chattel mortgage system and the deficiency of several normative modes of the chattel mortgage transfer, this paper hopes to find a better way to make up the defects of the chattel mortgage system. To find a more appropriate solution for the conflicts of interest in the transfer of chattel collateral in China. In addition to the introduction and conclusion of this article, mainly through the following aspects to elaborate. The first part discusses the issue of chattel mortgage. This part firstly studies the concept of chattel mortgage, and then explains the necessity of chattel mortgage system. Finally, it compares and explains the development of chattel mortgage system in two legal systems. By analyzing the different regulations of this system in different legal systems, the development of chattel mortgage system in the world is clarified. The second part analyzes the difficulties and necessity of the development of chattel mortgage system, and clarifies the significance of chattel mortgage system to social financing guarantee. At the same time, by introducing the interests of mortgagors, mortgagees and transferees in the process of chattel mortgage transfer, this paper probes into the root of the conflict of chattel mortgage transfer, that is, the contradiction between possession and registration of movable property mortgage. The third part first analyzes the legislative evolution of the chattel mortgage system in our country, and then, by comparing several conflict modes in the current legislation of our country to resolve the transfer of movable property mortgage, it limits the disposition mode. In order to lay a good foundation for the next step, the author analyzes the shortcomings of the legislation by analyzing the defects of the pattern of pursuing the doctrine and the mode of replacing the settlement. The fourth part puts forward the concrete system design for the problems existing in the process of the transfer of chattel mortgage in our country at present, including adopting the dual mode of combining registration and auxiliary registration publicity. The dual mode of the first generation and the corresponding judicial explanation.
