所有權(quán)保留買賣買受人利益保護(hù)研究

【摘要】:隨著現(xiàn)代市場經(jīng)濟(jì)和信用經(jīng)濟(jì)的發(fā)展,所有權(quán)保留買賣方式正越來越受到人們的關(guān)注。它在當(dāng)今社會充滿巨大活力并以一種重要的擔(dān)保方式的角色存在于現(xiàn)在的法律體系中!蹲罡呷嗣穹ㄔ宏P(guān)于審理買賣合同糾紛案件適用法律問題的解釋》(以下簡稱《買賣合同司法解釋》)于2012年5月10日公布,進(jìn)一步對我國的所有權(quán)保留制度進(jìn)行了完善。該制度的核心問題之一在于保護(hù)所有權(quán)保留買賣中買方的利益,特別是在國外尤其德國對該論題的研究是較為深入的,出現(xiàn)了諸多不同的理論學(xué)說并且各有特點和可取之處但又不至臻完善。關(guān)于買受人利益的問題,一方面它在所有權(quán)保留買賣中與強(qiáng)大的出賣人所有權(quán)相比顯得較弱,另一方面當(dāng)下的理論研究往往是優(yōu)先考慮出賣人的利益訴求忽略了對原本就處于弱勢的買受人的利益保護(hù),而這樣的既存的不平衡的利益保護(hù)方式就有值得我們繼續(xù)進(jìn)行研究以達(dá)平衡的必要性。本文在第二章主要探討了買受人期待權(quán)問題,因為在所有權(quán)保留買賣中談?wù)撡I受人利益保護(hù)問題很大程度上就是在談?wù)撡I受人期待權(quán)的保護(hù),以使得買受人的期待權(quán)最終平穩(wěn)地向所有權(quán)過渡。它具有像物權(quán)一樣的可移轉(zhuǎn)和負(fù)擔(dān)責(zé)任的屬性。這樣的靈活性使得它具有了可在市場自由流通的可能從而可產(chǎn)生巨大的潛在經(jīng)濟(jì)利益,與買受人實際利益息息相關(guān)。該文在對買受人利益的保護(hù)研究上采用的是弱者保護(hù)原則的理念,結(jié)合本文來講即對在市場經(jīng)濟(jì)中極易受到損害的一方給予一定的傾斜保護(hù)以達(dá)到實質(zhì)意義上的平等。本文正文邏輯上為三大部分,共分為六章。第一章是我國關(guān)于所有權(quán)保留買賣買受人利益保護(hù)立法研究現(xiàn)狀的問題,闡述當(dāng)下我國關(guān)于所有權(quán)保留買賣買受人利益保護(hù)的立法現(xiàn)狀及文獻(xiàn)研究情況,立足當(dāng)下才能發(fā)現(xiàn)不足。第二章主要探討所有權(quán)保留買賣買受人核心利益之一的期待權(quán)的性質(zhì),通過主流學(xué)說探討在這個基礎(chǔ)上得出自己的見解。第三四五六章屬于提出對買受人利益保護(hù)的策略的一個部分。這四章的保護(hù)策略分別對應(yīng)筆者在第一部分中的第三小部分,即關(guān)于保留買受人利益立法的可完善之處的四個小地方進(jìn)行的對策闡述。
[Abstract]:With the development of modern market economy and credit economy, the way of retention and sale of ownership is getting more and more attention. It is full of vitality in today's society and exists in the present legal system in an important way of security. The Interpretation of the Law of the Supreme People's Court on Handling the Dispute Cases of the Sale and Sales Contract (hereinafter referred to as the Judicial Interpretation of the Purchase and Sales Contract) is published on May 10, 2012, further improving the retention system of the ownership of our country. One of the core issues of the system is to protect the interests of buyers in the purchase and sale of ownership, especially in foreign countries, especially Germany. On the one hand, it is weaker than the strong seller's ownership in the purchase and sale of ownership, on the other hand, the present theoretical research tends to give priority to the seller's interest appeal, ignoring the interests protection of the buyer in the weak spot, There is a need for us to continue our research to balance the balance of existing imbalances. In the second chapter, the problem of buyer's expectation right is discussed in the second chapter, because the problem of the buyer's interest protection in the purchase and sale of the ownership is the protection of the buyer's expectation right, so as to make the buyer's expectation right finally transition to the ownership. It has the same attributes of transferability and liability as real right. Such flexibility makes it possible to circulate freely in the market, which can produce huge potential economic benefits, which is closely related to the actual interests of the buyer. In this paper, the concept of the weak protection principle is adopted in the research of the protection of the buyer's interests, which means that the party who is extremely vulnerable to the damage in the market economy gives a certain inclination protection to achieve the substantive equality. The text logic of this paper is divided into six chapters. The first chapter is about the present situation of the legal research about the protection of the buyer's interest in the ownership of the buyer, and expounds the current legislation and the literature research situation about the protection of the buyer's interest in the ownership of the ownership in our country. The second chapter mainly discusses the nature of the expectation right of one of the core interests of the buyer and buys the buyer's core interests, and probes into the opinions on this basis through the mainstream theory. Chapter Three is a part of the strategy proposed to protect the interests of the buyer. The protection strategies of these four chapters correspond to the third minor part of the first part, that is, the countermeasures to reserve the perfect place of the buyer's interest legislation.
