【摘要】：項(xiàng)目合同法律風(fēng)險(xiǎn)是指企業(yè)因違反法律、行為不符合法律規(guī)范或缺乏防范意識(shí),從而產(chǎn)生法律風(fēng)險(xiǎn),導(dǎo)致企業(yè)必須承擔(dān)法律責(zé)任,最終給企業(yè)造成損失。而項(xiàng)目合同法律風(fēng)險(xiǎn)防范指的是盡可能利用項(xiàng)目合同管理的方法減少違法事情發(fā)生,項(xiàng)目合同法律風(fēng)險(xiǎn)防范管理的主要目標(biāo)是建立一套以法律事務(wù)部門(mén)為主、各個(gè)部門(mén)協(xié)同、配合的嚴(yán)密、高效、完整的法律風(fēng)險(xiǎn)防控體系。加強(qiáng)項(xiàng)目合同管理能力可以有效地避免一些爭(zhēng)議和訴訟發(fā)生,項(xiàng)目合同管理同項(xiàng)目合同訴訟相比,項(xiàng)目合同管理的成本顯然小得多。有效的項(xiàng)目合同管理還能有效避免和化解不特定的法律風(fēng)險(xiǎn)出現(xiàn)。因此,加強(qiáng)和提升項(xiàng)目合同管理能力,完善項(xiàng)目合同管理制度是公司項(xiàng)目合同法律風(fēng)險(xiǎn)追求的當(dāng)務(wù)之急,是公司依法治企的直接體現(xiàn),更是現(xiàn)代公司適應(yīng)時(shí)代要求和建立現(xiàn)代企業(yè)制度的重要保障。本文理論結(jié)合實(shí)際,遵循提出問(wèn)題、分析問(wèn)題、解決問(wèn)題的思路,基于晉城供電公司項(xiàng)目合同管理當(dāng)前現(xiàn)狀,借助于國(guó)內(nèi)外相關(guān)的項(xiàng)目合同管理法律風(fēng)險(xiǎn)相關(guān)理論,對(duì)晉城供電公司項(xiàng)目合同法律風(fēng)險(xiǎn)防范問(wèn)題展開(kāi)深入研究。本文首先闡述了研究背景、明確了企業(yè)進(jìn)行項(xiàng)目合同法律風(fēng)險(xiǎn)防范研究的意義;在此基礎(chǔ)上,界定了項(xiàng)目合同法律風(fēng)險(xiǎn)的定義并對(duì)法律風(fēng)險(xiǎn)評(píng)估理論及方法適用進(jìn)行了梳理和評(píng)述,接下來(lái),本文以晉城供電公司項(xiàng)目合同管理基礎(chǔ)工作為背景,介紹了晉城供電公司常用項(xiàng)目合同的類型和具體的工作流程,指出晉城供電公司項(xiàng)目合同法律風(fēng)險(xiǎn)防范存在的主要問(wèn)題,并對(duì)形成原因進(jìn)行了分析。最后,本文從法律角度、企業(yè)管理角度對(duì)電網(wǎng)公司合同法律風(fēng)險(xiǎn)管理工作提出相關(guān)的對(duì)策建議。本文的研究成果能夠?yàn)殡娋W(wǎng)企業(yè)項(xiàng)目合同法律風(fēng)險(xiǎn)防范提供參考,提高公司員工簽訂項(xiàng)目合同的法律風(fēng)險(xiǎn)防范能力,促進(jìn)國(guó)有資產(chǎn)保值、增值提供借鑒。
[Abstract]:The legal risk of the project contract refers to the fact that the enterprise does not conform to the legal norms or lacks the consciousness of prevention because of violating the law, which results in the legal risk, which leads to the legal responsibility of the enterprise and finally causes the loss to the enterprise. The legal risk prevention of the project contract refers to the use of the method of project contract management to reduce the occurrence of illegal events as far as possible. The main goal of the legal risk prevention management of the project contract is to establish a set of legal affairs departments, which cooperate with each other. Strict, efficient and complete legal risk prevention and control system. Strengthening the ability of project contract management can effectively avoid some disputes and litigation. The cost of project contract management is much smaller than that of project contract litigation. Effective project contract management can also effectively avoid and resolve the emergence of no specific legal risks. Therefore, strengthening and improving the project contract management ability and perfecting the project contract management system are the urgent affairs of the legal risk pursuit of the company's project contract and the direct embodiment of the company's administration of enterprises according to law. It is also an important guarantee for modern companies to adapt to the requirements of the times and establish modern enterprise system. Based on the current situation of project contract management in Jincheng Power supply Company, this paper combines theory with practice, follows the train of thought of putting forward problems, analyzing problems and solving problems, and based on the relevant theories about legal risk of project contract management at home and abroad. To Jincheng power supply company project contract legal risk prevention problem to carry on the thorough research. Firstly, this paper expounds the background of the research, and clarifies the significance of the research on the legal risk prevention of the project contract. The definition of legal risk of project contract is defined, and the application of the theory and method of legal risk assessment is summarized and commented. Then, this paper takes the basic work of project contract management of Jincheng Power supply Company as the background. This paper introduces the types and concrete work flow of common project contracts in Jincheng Power supply Company, points out the main problems existing in the legal risk prevention of the project contract of Jincheng Power supply Company, and analyzes the reasons for their formation. Finally, from the point of view of law and enterprise management, this paper puts forward relevant countermeasures and suggestions to the legal risk management of power grid company contract. The research results of this paper can provide a reference for the legal risk prevention of power grid enterprise project contract, improve the legal risk prevention ability of the company staff to sign the project contract, promote the preservation of state-owned assets, and provide reference for the increase of value.
