論流通抵押制度及其在中國的構(gòu)建

【摘要】:流通抵押權(quán)是投資者進(jìn)行金錢投資和不動(dòng)產(chǎn)所有人獲得融資的媒介,是誘導(dǎo)債權(quán)成立的一種法律手段,其成立不以債權(quán)的先期存在為前提,而以促成債權(quán)的發(fā)生為目的。德國的流通抵押權(quán)制度,為推動(dòng)企業(yè)生產(chǎn)信貸融資發(fā)揮了至關(guān)重要的作用,尤其是將抵押權(quán)表征在證券上,更是提高了不動(dòng)產(chǎn)的流通效率。流通抵押權(quán)還具有轉(zhuǎn)化程序簡單的優(yōu)點(diǎn),一般保全型抵押權(quán)的轉(zhuǎn)讓過程,手續(xù)過于繁瑣,這樣便降低了投資者的投資信心,但流通抵押權(quán),就可以克服轉(zhuǎn)化程序復(fù)雜的弊端。本文以德國的流通抵押權(quán)制度為研究對象,并以之為基礎(chǔ),分析了我國構(gòu)建流通抵押權(quán)的問題。除引言和結(jié)論部分外,本文分如下三個(gè)部分:第一部分介紹近代大陸法系抵押權(quán)流通性的發(fā)展。通過對比德國抵押權(quán)體系和法國抵押權(quán)體系,認(rèn)識到流通抵押和保全抵押兩大抵押權(quán)體系對羅馬法的繼受程度不同、具體制度設(shè)計(jì)差異等。近代資本主義經(jīng)濟(jì)的發(fā)展,對抵押權(quán)制度不斷提出了新的要求,法國等國家不斷適應(yīng)社會(huì)經(jīng)濟(jì)發(fā)展趨勢的要求,進(jìn)行對抵押權(quán)制度進(jìn)行完善,出現(xiàn)了抵押權(quán)流通性的新動(dòng)態(tài)。第二部分對德國流通抵押制度進(jìn)行了深入分析。德國的流通抵押權(quán)具有獨(dú)立性,是誘導(dǎo)債權(quán)發(fā)生的手段,不以先期債權(quán)存在為前提。流通抵押權(quán)的客體一般是價(jià)值比較大的不動(dòng)產(chǎn)。在流通抵押權(quán)的設(shè)立方面,需要對抵押物進(jìn)行登記,由登記機(jī)關(guān)進(jìn)行審查之后發(fā)行證券,在抵押證券轉(zhuǎn)讓時(shí)需要雙方達(dá)成合意、交付證券、進(jìn)行公證。流通抵押權(quán)的順位,實(shí)行次序固定原則。德國流通抵押制度的優(yōu)越性在于抵押權(quán)誘發(fā)債權(quán)產(chǎn)生、抵押權(quán)的流通性帶動(dòng)債權(quán)流通,并且抵押權(quán)仍有保全債權(quán)的功能。第三部分提出對我國構(gòu)建流通抵押制度的設(shè)想。在整理立法安排上,筆者傾向于制定單獨(dú)的《流通抵押法》;在具體制度設(shè)計(jì)上,為保障流通抵押權(quán)的流通性,采納抵押權(quán)獨(dú)立性原則、完善公示公信原則等,并實(shí)現(xiàn)抵押權(quán)證券化。
[Abstract]:The circulating mortgage is the medium for investors to invest in money and the owner of immovable property to obtain financing. It is a legal means to induce the establishment of creditor's rights, which is not based on the pre-existence of creditor's rights, but for the purpose of promoting the occurrence of creditor's rights. The system of circulation mortgage in Germany has played a vital role in promoting enterprise production credit financing, especially in the representation of mortgage on securities, and has improved the circulation efficiency of real estate. Circulation mortgage also has the advantage of simple transformation procedure. The procedure of transfer of general preservation mortgage is too complicated, which reduces the investor's investment confidence, but the circulation mortgage can overcome the disadvantages of complex transformation procedure. This paper takes the circulation mortgage system of Germany as the research object, and based on it, analyzes the problem of constructing the circulation mortgage in our country. In addition to the introduction and conclusion, this paper is divided into the following three parts: the first part introduces the development of the circulation of mortgage in modern civil law system. By comparing the German mortgage system with the French mortgage system, it is recognized that the two mortgage systems, circulation mortgage and preservation mortgage, have different degrees of acceptance of Roman law and different system designs. With the development of modern capitalist economy, new demands have been put forward to the mortgage system, and France and other countries have constantly adapted to the demands of the social and economic development trend to perfect the mortgage system, and a new trend of circulation of mortgage has emerged. The second part of the German circulation mortgage system in-depth analysis. The circulation mortgage of Germany is independent and is a means to induce the occurrence of creditor's rights, and does not presuppose the existence of advance creditor's rights. The object of circulating mortgage is real estate with relatively large value. In the establishment of the circulating mortgage, it is necessary to register the mortgage, issue securities after examination by the registration authority, and reach agreement when the mortgage securities are transferred, deliver the securities and notarize. The order of the circulating mortgage shall be fixed in order. The advantage of German circulation mortgage system is that mortgage induces creditor's rights, the circulation of mortgage leads to the circulation of creditor's rights, and mortgage still has the function of preserving creditor's rights. The third part puts forward the idea of constructing the circulation mortgage system in our country. In the arrangement of legislation, the author tends to make a separate "Circulation Mortgage Law", in the specific system design, in order to ensure the circulation of circulation mortgage, adopt the principle of the independence of mortgage, perfect the principle of public information, etc. And realize mortgage securitization.
