商品房買賣預(yù)約合同法律效力問題研究

【摘要】:在商品房買賣領(lǐng)域,當事人簽訂預(yù)約合同的情況較為普遍。商品房買賣預(yù)約合同由于自身的特殊性較易引發(fā)糾紛,我國立法對此鮮有調(diào)控,相關(guān)的司法解釋也未對細節(jié)問題進一步展開,這使得我們?nèi)狈γ鞔_的依據(jù)來解決相關(guān)的案件。對商品房買賣預(yù)約合同法律效力問題的探究就是明確締約當事人所受的法律拘束,應(yīng)履行何種具體的法律義務(wù),承擔何種具體的法律責任,這些問題的解決將有助于我們走出困境。本人認為,我們應(yīng)當在主客觀方面對商品房買賣預(yù)約合同的法律效力進行綜合的考察。首先,我們應(yīng)當尊重當事人締約時的主觀意志,優(yōu)先考慮當事人的特別約定;在無特別約定的情況下,我們應(yīng)當通過雙方的交易行為等外部表象來確定當事人的真實意思;最后若無外部表象,我們則應(yīng)通過商品房買賣預(yù)約合同所涉交易內(nèi)容的完備程度來確定合同的法律效力。憑借這三個層次,我們就能夠準確地認定當事人負擔的合同義務(wù),繼而確定違反合同后的法律責任。本文主要分為五個部分:第一部分由案例引出問題;第二部分對預(yù)約合同進行綜合性論述;第三部分介紹評析相關(guān)學(xué)說,穿插回應(yīng)本文所載案例,引出作者觀點:第四部分論述違反商品房買賣預(yù)約合同的法律責任;文章的最后一部分,筆者將提出自己的意見和見解。
[Abstract]:In the field of commercial housing sales, the parties signed an appointment contract is more common. Because of its particularity, the contract of booking for the purchase and sale of commercial housing is liable to cause disputes, which is rarely regulated by our legislation, and the relevant judicial explanation is not further developed, which makes us lack a clear basis to solve the relevant cases. The exploration of the legal effect of the contract for the purchase and sale of commercial housing is to make clear the legal constraints to which the contracting parties are bound, what kind of specific legal obligations should be fulfilled, and what kind of specific legal responsibilities should be assumed. The solution of these problems will help us out of the dilemma. In my opinion, we should make a comprehensive investigation on the legal effect of the contract of sale and purchase of commercial housing in subjective and objective aspects. First of all, we should respect the subjective will of the parties and give priority to the special agreement of the parties; in the absence of special agreement, we should determine the true meaning of the parties through external appearances such as the transaction behavior of both parties. Finally, if there is no external appearance, we should determine the legal effect of the contract through the completeness of the transaction content involved in the contract for the purchase and sale of commercial housing. With these three levels, we can accurately identify the contractual obligations of the parties, and then determine the legal liability after breach of the contract. This article is mainly divided into five parts: the first part leads to the problem from the case; the second part of the comprehensive discussion of the appointment contract; the third part introduces the evaluation of relevant theories, interspersed with the case contained in this paper, The fourth part discusses the legal liability of violating the contract of purchase and sale of commercial housing, and the last part of the article, the author will put forward his own opinions and opinions.
