【摘要】：沉默原則上并不構(gòu)成意思表示。作為例外情形,當(dāng)事人得約定沉默具有特定含義。同時(shí),制定法中也存在若干將沉默擬制為意思表示的規(guī)定。此外,在具體情形中,根據(jù)商事習(xí)慣或誠(chéng)實(shí)信用原則,沉默同樣有可能被視為意思表示。當(dāng)作為意思表示的沉默出現(xiàn)錯(cuò)誤時(shí),能否以及如何適用有關(guān)意思表示撤銷(xiāo)的規(guī)定,則因其類型的不同而有所區(qū)別。在國(guó)際法律交易中,就沉默情形的判斷而言,《聯(lián)合國(guó)國(guó)際貨物銷(xiāo)售合同公約》和歐盟《羅馬條例I》值得特別關(guān)注。
[Abstract]:Silence does not, in principle, constitute an expression of will. As an exception, the parties may agree that silence has a specific meaning. At the same time, there are a number of provisions in the law of silence as the expression of intention. Furthermore, in specific cases, silence may also be regarded as an expression of will, in accordance with commercial custom or the principle of good faith. When there is an error in silence as an expression of will, it is different whether and how to apply the relevant provisions of revocation of the expression of will according to their different types. In international legal transactions, the United Nations Convention on contracts for the International Sale of goods and the European Union Rome Regulation I deserve special attention in judging the situation of silence.
