特殊動(dòng)產(chǎn)物權(quán)變動(dòng)中登記對(duì)抗規(guī)則問題研究

【摘要】:特殊動(dòng)產(chǎn)物權(quán)變動(dòng)中的登記對(duì)抗效力,源于法律的直接規(guī)定,內(nèi)涵為第三人對(duì)未登記的特殊動(dòng)產(chǎn)物權(quán)變動(dòng)享有否定權(quán),即該物權(quán)變動(dòng)效力僅產(chǎn)生于交易雙方之間,無法約束第三方。登記對(duì)抗規(guī)則中的第三人范圍應(yīng)是期望取得或是設(shè)定某一物權(quán)的一方當(dāng)事人,對(duì)于第三人主觀善意的解讀可適當(dāng)降低標(biāo)準(zhǔn),采用推定善意規(guī)則,凡是存在第三人單純知情交易關(guān)系但未有惡意欺詐(不正當(dāng)競爭)減損前手物權(quán)受讓人之利益者,均認(rèn)定為善意第三人,以實(shí)現(xiàn)與登記對(duì)抗中的法定登記義務(wù)相契合。登記對(duì)抗的效力規(guī)則在某種程度上可視其為一種特殊的物權(quán)變動(dòng)方式,但應(yīng)嚴(yán)格限定在法律明確規(guī)定下適用,不允許任意擴(kuò)張解釋適用。法律在設(shè)置第三人否定權(quán)的同時(shí),對(duì)于否定權(quán)行使的法律效果未明確規(guī)定,若不加區(qū)分,主張擴(kuò)展登記對(duì)抗的適用空間涵蓋處理物權(quán)的歸屬,勢必與我國現(xiàn)有的法律制度處理此情形下物權(quán)歸屬的配置產(chǎn)生沖突。
[Abstract]:The registration countervailing effect in the real right change of special movable property originates from the direct stipulation of the law, and the connotation is that the third party has the negative right to the change of the special movable property right which is not registered, that is, the effect of the change of the property right only arises between the parties to the transaction. A third party cannot be bound. The scope of the third party in the registration countermeasures rule should be the party who expects to acquire or create a real right. The interpretation of the third party's subjective good will can appropriately lower the standard and adopt the presumption of good faith rule. Anyone who has a relationship of pure informed transaction but no malicious fraud (unfair competition) detracts from the interests of the transferee of the former real right is regarded as a bona fide third party in order to realize the agreement with the legal registration obligation in the registration confrontation. To a certain extent, the rules of effectiveness of registration countermeasures can be regarded as a special mode of real right change, but they should be strictly limited to the specific provisions of the law, and no arbitrary expansion of interpretation should be allowed. While the law sets up the third party's right of negation, the legal effect of the exercise of the right of negation is not clearly stipulated. If no distinction is made, it is advocated to expand the applicable space of registration confrontation to cover the ownership of the real right. It is bound to conflict with the disposition of property ownership in the present legal system of our country.
