【摘要】:擔(dān)保交易整個過程中,抵押是重要的因素之一。在整個擔(dān)保過程當(dāng)中,抵押物轉(zhuǎn)讓是比較復(fù)雜問題之一,因為抵押物的轉(zhuǎn)讓會讓抵押物的人們、抵押權(quán)人、抵押物接受的人們在處分權(quán)利、擔(dān)保權(quán)益、物所有權(quán)之間發(fā)生矛盾、煩擾了市場交易的安全性和效率性。所以,怎樣協(xié)調(diào)現(xiàn)有《物權(quán)法》有關(guān)精神保護(hù)這三大點的利益,成立一個有效的抵押物轉(zhuǎn)讓的規(guī)章體制,這是十分值得相關(guān)學(xué)者給予深刻的研究與分析。在抵押權(quán)追及效力、抵押物轉(zhuǎn)讓及三方當(dāng)事人利益保護(hù)問題上,我國物權(quán)法等已有相關(guān)規(guī)定,但是不夠全面,亦不盡合理。本文基于《民法通則意見》、《擔(dān)保法》、《擔(dān)保法解釋》、《物權(quán)法》的相關(guān)規(guī)定進(jìn)行分析,筆者對沒有經(jīng)過抵押權(quán)人允許的前提下轉(zhuǎn)讓抵押物效力大小予以探討,指出我國關(guān)于不動產(chǎn)抵押物轉(zhuǎn)讓方面的不足,在此基礎(chǔ)上,提出了確定允許抵押者轉(zhuǎn)讓抵押物、確立抵押權(quán)利追及的效力、賦予受讓人滌除權(quán)和使登記體制的觀點完整化。
[Abstract]:Mortgage is one of the important factors in the whole process of secured transaction. In the whole process of guaranty, the transfer of mortgage is one of the more complicated problems, because the transfer of mortgage will make the people of mortgage, mortgagee, and people accepting mortgage conflict between disposition rights, security interests and title to things. Disturbing the security and efficiency of market transactions. Therefore, how to coordinate the interests of the three points of spiritual protection and establish an effective system of rules and regulations on the transfer of collateral is worthy of profound research and analysis by relevant scholars. There are some relevant provisions in Chinese real right law, such as the pursuit and effect of mortgage, the transfer of mortgage and the protection of the interests of the three parties, but it is not comprehensive and reasonable. Based on the relevant provisions of the General principles of Civil Law, the interpretation of the Guaranty Law and the property Law, the author discusses the validity of the transfer of the mortgage without the permission of the mortgagee. This paper points out the deficiency of the transfer of immovable property mortgage in our country, on the basis of which, it puts forward the viewpoint that the mortgagor is allowed to transfer the mortgage, the validity of the mortgage right is established, the transferee is given the right to remove the right and the registration system is integrated.
