【摘要】:融資租賃是一種集融資和融物,兼顧金融與貿(mào)易雙重特質(zhì)的金融模式,一經(jīng)出現(xiàn)就表現(xiàn)出強(qiáng)大的生命力,在民航、通信、能源等基礎(chǔ)設(shè)施建設(shè)和眾多企業(yè)的技術(shù)改造方面都提供了強(qiáng)大的融資渠道,因直接對接實(shí)體經(jīng)濟(jì),能有效防止金融泡沫的產(chǎn)生,這種融資方式備受推崇,是現(xiàn)代金融領(lǐng)域的朝陽產(chǎn)業(yè)。但近年來,隨著融資租賃業(yè)的迅速發(fā)展,租賃企業(yè)的業(yè)務(wù)風(fēng)險(xiǎn)業(yè)逐步暴露。"三年風(fēng)險(xiǎn)積累,五年風(fēng)險(xiǎn)暴露,七年形成損失"的"七年之癢"的說法,在船舶、鋼鐵等行業(yè)已經(jīng)出現(xiàn)征兆,各種問題橫生。其中比較嚴(yán)重的就是對出租人權(quán)利保護(hù)的不到位,使其面臨的風(fēng)險(xiǎn)要遠(yuǎn)大于其獲得的利益,嚴(yán)重挫傷了其積極性。出租人作為推動(dòng)融資租賃業(yè)發(fā)展的生力軍,其權(quán)利的保護(hù)關(guān)乎融資租賃業(yè)的長久發(fā)展,必須引起重視。本文就是從保護(hù)融資租賃出租人權(quán)利的角度出發(fā),發(fā)現(xiàn)問題,找出原因,并借鑒別國做法,結(jié)合本國實(shí)際提出自己的建議。本文除引言、結(jié)語外,正文共分三大部分,文章結(jié)構(gòu)如下:其中引言介紹了寫作背景和寫作意義。正文第一部分,由融資租賃的典型案例引入,闡述出租人權(quán)利保護(hù)的現(xiàn)狀及其面臨的潛在風(fēng)險(xiǎn),包括物的風(fēng)險(xiǎn)、違約風(fēng)險(xiǎn)、第三人善意取得租賃物之風(fēng)險(xiǎn)、承租人破產(chǎn)風(fēng)險(xiǎn)等,并分析風(fēng)險(xiǎn)產(chǎn)生的原因,以期更好地解決問題。正文第二部分,基礎(chǔ)理論。理論指導(dǎo)實(shí)踐,具體有國內(nèi)外對"融資租賃"的內(nèi)涵分析,融資租賃關(guān)系法律性質(zhì)的理論認(rèn)識(shí)與評(píng)析,融資租賃合同的法律性質(zhì)、特征和法律構(gòu)造,融資租賃合同中出租人的權(quán)利義務(wù)分析。正文第三部分,從融資租賃合同中出租人權(quán)利保障的角度出發(fā),分析其在現(xiàn)行的制度和法律法規(guī)環(huán)境下,在借鑒國際經(jīng)驗(yàn)的同時(shí),尋求適合我國出租人權(quán)利的救濟(jì)方法:如構(gòu)建我國融資租賃登記制度,完善我國融資租賃物取回權(quán)制度,改進(jìn)我國融資租賃物取回權(quán)制度和出租人債權(quán)保護(hù)制度,引進(jìn)強(qiáng)制保險(xiǎn)度等,希望為今后的立法在出租人權(quán)利保護(hù)方面提供一些有意義的參考。
[Abstract]:Financial leasing is a kind of financial model that combines financing and finance, and takes into account the dual characteristics of finance and trade. Once it appears, it shows strong vitality in civil aviation and communications.The construction of infrastructure such as energy and the technological transformation of many enterprises have provided powerful financing channels. This financing method is highly regarded as a direct link to the real economy, which can effectively prevent the emergence of financial bubbles.It is the sunrise industry in the field of modern finance.But in recent years, with the rapid development of the financing leasing industry, the business risk industry of the leasing enterprises is gradually exposed. "Three years of risk accumulation, five years of risk exposure, seven years of loss, "seven-year itch" expression, in ships, steel and other industries have appeared signs, all kinds of problems.The more serious one is that the lessor's right protection is not in place, and the risk it faces is far greater than the benefit it obtains, which seriously dampens its enthusiasm.As a new force to promote the development of financial leasing industry, the protection of lessor's rights is related to the long-term development of financing leasing industry, and must be paid attention to.From the point of view of protecting the rights of financial lessors, this paper finds out the problems, finds out the causes, and draws lessons from the practices of other countries and puts forward its own suggestions.In addition to the introduction and conclusion, the text is divided into three parts. The structure of the article is as follows: the introduction introduces the writing background and significance.The first part of the text, introduced by a typical case of financial lease, expounds the current situation of the protection of the lessor's rights and the potential risks it faces, including the risk of property, the risk of breach of contract, the risk of the third party acquiring the lease item in good faith, the risk of the lessee's bankruptcy, etc.And analyze the causes of risk, in order to better solve the problem.The second part of the text, basic theory.The theoretical guidance and practice include the analysis of the connotation of "financial lease" at home and abroad, the theoretical understanding and evaluation of the legal nature of the financial lease relationship, the legal nature, characteristics and legal structure of the financial lease contract.The analysis of the lessor's rights and obligations in the financial lease contract.The third part of the text, from the perspective of the protection of the lessor's rights in the financial lease contract, analyzes its current system, laws and regulations, while drawing lessons from international experience.Seeking the relief methods suitable for the right of lessor in our country, such as constructing the registration system of financial lease in our country, perfecting the system of taking back the right of financing lease in our country, improving the system of taking back the right to take back the right of financing lease in our country and the system of protection of lessor's creditor's rights.The introduction of compulsory insurance and so on, hoping to provide some meaningful reference for the future legislation in the protection of lessor's rights.
