【摘要】：相較于《民法通則》,《民法總則》的一大進(jìn)步在于明確將"習(xí)慣"作為正式的法律淵源,但仍存在兩個(gè)問題有待后續(xù)民法典分則各編制定過程中予以考慮。其一是對(duì)商事習(xí)慣和民事習(xí)慣未加區(qū)分,其二是沒有賦予商事習(xí)慣以優(yōu)先適用于民事基本法的地位。此種設(shè)計(jì)存在三個(gè)弊病:一是忽視了民商事審判、仲裁和法律適用對(duì)于改變《合同法》按照具體情況來確定交易習(xí)慣適用與否的制度需求;二是增加了交易成本,未能充分實(shí)現(xiàn)制度效率;三是不利于有效推進(jìn)法治經(jīng)濟(jì)建設(shè)。故而有必要從法律解釋學(xué)、法律經(jīng)濟(jì)學(xué)分析兩個(gè)視角加以闡述商事習(xí)慣優(yōu)先適用條款加入民法典的必要性及具體途徑,以服務(wù)于民法典后續(xù)編纂、民商事法律制度完善以及法治經(jīng)濟(jì)的實(shí)現(xiàn)。
[Abstract]:Compared with the General principles of Civil Law, one of the major advances in the General principles of Civil Law is the explicit use of "custom" as a formal source of law. However, there are still two problems to be taken into account in the formulation of the Civil Code. One is that there is no distinction between commercial custom and civil custom. The other is that the commercial custom has not been given priority to the civil basic law. There are three disadvantages in this design: first, the civil and commercial trial is ignored. Arbitration and the application of law to change the "contract Law" according to the specific circumstances to determine the applicability of trading habits, the second is to increase transaction costs, not fully realize the efficiency of the system; The third is not conducive to the effective promotion of the economic construction of the rule of law. Therefore, it is necessary to expound the necessity and specific ways of entering the Civil Code from the perspectives of legal hermeneutics and legal economics analysis. In order to serve the subsequent compilation of the Civil Code, civil and commercial law system and the realization of the rule of law economy.
