【摘要】:改革開(kāi)放以來(lái),隨著經(jīng)濟(jì)的迅猛發(fā)展,中國(guó)與外國(guó)的經(jīng)濟(jì)技術(shù)合作與交流也逐步加強(qiáng)。在交流與合作過(guò)程中,為了開(kāi)辟利用外資的新渠道,吸收和引進(jìn)國(guó)外的先進(jìn)技術(shù)和設(shè)備,中國(guó)的融資租賃行業(yè)才逐漸發(fā)展起來(lái)。然而我國(guó)融資租賃業(yè)在發(fā)展的過(guò)程中,日益顯現(xiàn)出各種問(wèn)題。其中比較嚴(yán)重的就是出租人權(quán)利如何得到保護(hù)的問(wèn)題。這是因?yàn)?出租人在融資租賃活動(dòng)中起著重要的橋梁作用,既要和供貨人訂立買賣合同,又要和承租人訂立租賃合同,而這兩個(gè)合同又是相互關(guān)聯(lián)、相互影響的,因此,在融資租賃交易中出租人的權(quán)益就可能會(huì)受到來(lái)自供貨人和承租人雙方的損害。雖然出租人為租賃物的所有權(quán)人,但是對(duì)于租賃物的占有、使用和部分收益權(quán)能,出租人并不享有,而為承租人享有,即在融資租賃活動(dòng)中,一方當(dāng)事人不能同時(shí)享有租賃物的所有權(quán)與使用權(quán)。因此,在融資租賃活動(dòng)中就容易出現(xiàn)各種問(wèn)題,最典型的就是租賃物被第三人善意取得。出租人在融資租賃活動(dòng)中所作出的貢獻(xiàn)最大,面臨的風(fēng)險(xiǎn)也最大,但法律對(duì)于出租人權(quán)利保護(hù)的條款卻很少。因此,筆者認(rèn)為加強(qiáng)法律對(duì)出租人權(quán)利的保護(hù)還是很有必要的。維護(hù)好出租人的權(quán)益,具有非常重要的意義,不但可以維護(hù)交易安全、促進(jìn)融資租賃行業(yè)乃至整個(gè)社會(huì)經(jīng)濟(jì)的發(fā)展,而且可以使閑置資金得到充分運(yùn)用。本文通過(guò)對(duì)出租人的權(quán)利狀況進(jìn)行分析,發(fā)現(xiàn)現(xiàn)行法律對(duì)出租人權(quán)利保護(hù)的不足之處,并有針對(duì)地提出了保護(hù)出租人權(quán)利的立法建議。本文由引言、正文(三個(gè)部分)、結(jié)語(yǔ)三大部分組成。下面分述之:其中引言部分主要介紹了本文寫作的背景情況及寫作意義。正文首先對(duì)融資租賃合同中出租人的權(quán)利現(xiàn)狀進(jìn)行介紹。其側(cè)重點(diǎn)包括以下兩個(gè)方面,其一是對(duì)融資租賃合同中出租人所享有的權(quán)利進(jìn)行簡(jiǎn)要的分析,其二介紹了現(xiàn)行立法對(duì)融資租賃合同的規(guī)定。通過(guò)對(duì)我國(guó)融資租賃合同的立法分析,發(fā)現(xiàn)我國(guó)融資租賃合同立法的不完善之處,進(jìn)而發(fā)現(xiàn)立法對(duì)出租人權(quán)利保護(hù)的不足。第二部分主要對(duì)出租人權(quán)利風(fēng)險(xiǎn)的類型進(jìn)行分析。出租人權(quán)利主要面臨著以下幾個(gè)方面的風(fēng)險(xiǎn),主要包括出賣人與承租人的違約、租賃物物權(quán)的變動(dòng)、承租人破產(chǎn)等。只有將出租人權(quán)利面臨的風(fēng)險(xiǎn)歸納出來(lái),才能更好地尋找保護(hù)出租人權(quán)利的辦法。第三部分針對(duì)第二部分所列舉的出租人權(quán)利所面臨的風(fēng)險(xiǎn),在借鑒國(guó)際經(jīng)驗(yàn)的同時(shí),尋求適合我國(guó)出租人權(quán)利的救濟(jì)方法。在此提出了出租人選擇權(quán)及其行使、建立租賃物登記制度、完善破產(chǎn)取回權(quán)制度以及引入保險(xiǎn)制度等立法建議,希望能為今后的立法在出租人的權(quán)利保護(hù)方面提供一些參考。
[Abstract]:Since the reform and opening up, with the rapid development of the economy, the economic and technological cooperation and exchanges between China and foreign countries have been gradually strengthened. In the process of exchange and cooperation, in order to open up new channels for the utilization of foreign capital, we should absorb and introduce advanced technologies and equipment from abroad. China's financial leasing industry has developed gradually. However, in the process of development of China's financial leasing industry, more and more problems have emerged. Among them, the more serious problem is how to protect the lessor's rights. The lessor plays an important role as a bridge in the activities of financial leasing. It is necessary to conclude a contract of sale and purchase with the supplier and a lease contract with the lessee, and the two contracts are interrelated and affect each other. In a financial lease transaction, the lessor's interest may be impaired by both the supplier and the lessee. Although the lessor is the owner of the lease item, it is able to occupy, use and partly benefit from the lease item, The lessor does not enjoy it, but the lessee enjoys it, that is, in the financial lease activity, a party cannot enjoy both the ownership and the right to use the lease item. Typically, the leasehold is acquired by a third party in good faith. The lessor makes the greatest contribution to the financial lease activity and faces the greatest risks, but the law has few provisions for the protection of the lessor's rights. The author thinks that it is necessary to strengthen the protection of the lessor's rights by law. It is of great significance to protect the lessor's rights and interests, not only to maintain the transaction security, but also to promote the development of the financial leasing industry and even the whole society and economy. And can make full use of idle funds. Through the analysis of the lessor's rights, this paper finds out the deficiency of the protection of the lessor's rights under the current law. The author also puts forward some legislative suggestions to protect the lessor's rights. The main body (three parts and the conclusion of three parts). The following parts are described: the introduction part mainly introduces the background and significance of this paper. Firstly, the text introduces the current situation of lessor's rights in the financial lease contract. Its emphasis includes the following two aspects, The first is the brief analysis of the lessor's rights in the financial lease contract, the second is the introduction of the current legislation on the financial lease contract. Find out the imperfections of the legislation of financing lease contract in our country, The second part mainly analyzes the types of the lessor's right risk. The lessor's right mainly faces the following risks, including the breach of contract between the seller and the lessee. The change of the property right of the lease item, the bankruptcy of the lessee, etc. Only the risks faced by the lessor's rights can be summed up, In order to better find ways to protect the rights of lessors. The third part, in view of the risks faced by the lessors rights listed in part two, while drawing on international experience, In this paper, the author puts forward some legislative suggestions, such as the option of the lessor and its exercise, the establishment of the registration system of the lease item, the perfection of the system of the right to take back from bankruptcy and the introduction of the insurance system, etc. Hope to provide some reference for future legislation in the protection of lessor's rights.
